Governance Explanations

Form 990, Part VI, Section A, Line 6

The association has four classes of membership: active member - an individual or independent insurance agency who represents at least one mutual or stock insurance company which operates under the independent insurance agency system. Company member - any insurance company operating on the independent agency system and licensed to do business in the state of wisconsin. Associate member - any persons or organizations providing products or services to the independent agency system. Retired member - any person who was previously affiliated with the professional insurance agents of wisconsin and is now retired. Only active members have the right to vote.

The association's active membership has the right to elect the members of the governing body. Elections are held during the association's annual meeting.

The by-laws may be amended or repealed by a majority vote of the active members present at any annual or special meeting of the association duly called and regularly held.

The prepared form 990 is reviewed by the treasurer and the members of the executive committee before the return is filed with the irs.

Members of the board, officers, volunteers, and key employees must act at all times in teh best interests of piaw and shall disclose all potential and actual conflicts of interest to the board of directors and, if required, remove themselves from all discussion and voting on any related matter. On an annual basis, all individuals to whom this policy shall apply shall be provided with a copy of this policy and required to complete and sign an acknowledgement and disclosure form prepared by the board of directors.

An annual performance review of the executive director is conducted by the executive committee and the executive director's compensation is determined using comparable data from association publications. Minutes of the review meeting are maintained and the final approval of the compensation is made by the association's governing body.
