“Policy summary: the federal form 990 is a federally mandated legal document that is highly regulated. Within asante physician partners (app), they are to be prepared by personnel in the asante accounting department. Asante is the parent corporation of asante physician partners. Additional assistance will be provided by personnel in the asante marketing, compliance, and executive departments. Before final submission of the documents, they are to have asante physician partners board review. Policy details: 1. When final audited financial information is available, accounting personnel will compile the needed information to prepare the appropriate returns for the prior fiscal year. 2. As needed, accounting will file all apropriate extensions on a timely basis. However, the final submission can never be extended past august 15th of the year following the fiscal year being filed. 3. In addition to normal preparation, accounting personnel will coordinate with personnel in marketing, compliance, and possibly the executive departments in preparing the various schedules needed to complete the return. All work papers are to be retained in a permanent file. 4. When all necessary information has been compiled, it is to be loaded into appropriate tax software. 5. When completed, a draft return will be reviewed by the asante chief administrative and finance officer. After the review, accounting will clear all review notes and comments. 6. Once reviewed by the cafo, an additional review will be performed by an outside cpa firm. Accounting will again clear any additional review notes and comments submitted by the outside cpa. 7. The app chief executive officer and members of the board of directors will look over the final set of returns and make further comments and corrections, as is appropriate. 8. Once all reviews and corrections are made, the asante cafo will sign all appropriate returns for filing. 9. All returns will then be filed either electonically or paper copy with the appropriate government agency. A copy of each return is to be kept in the accounting department and a copy of the 990 will be kept at the asante corporate headquarters for public display and copying, as requested.”

“The compliance department of asante (a department of the parent company of asante physician partners), mails to all asante physician partner's management, key employees, and board members a conflict of interest questionaire to comply with asante's conflict of interest policy# 400-ld-034 and 036. The purpose of the policy is to protect asante's and asante physician partner's interests when it is contemplating entering into a transaction or arrangement that might benefit the private interests of a board member or officer of the corporation. In addition, all asante physician partner's employees have an obligation to disclose conflicts of interest or potential conflicts to their supervisor. The asante corporate compliance officer is responsible for administering, monitoring, and investigating any possible conflicts and make an annual report to the board of directors.”

“The compensation committee of the parent company's board of directors annually reviews the compensation of the ceo and other key employees. The review compares the compensation of the ceo and other key employees with compensation data for job incumbents in comparable positions at other healthcare organizations of similar size and scope. The data is provided and presented to the compensation committee by an outside consultant. The compensation committee sets the actual annual cash compensation for the ceo and salary ranges for the other key employees. The committee also sets total compensation opportunity for the ceo and each of the key employees, consistent with the executive compensation philosophy. Minutes of the committee diliberations and decisions are recorded and maintained. The most recent executive compensation review was completed in 2012.”

We wish to have available to the citizens of our community a large base of primary care physicians, as well as numerous physician specialists including cardiologists, surgeons, oncologists, and much more. The focus of asante physician partners is not merely to employ these doctors, but to also encourage them to establish their medical practice in the community and make the rogue valley of southern oregon their home. As a result, the citizens of southern oregon do not need to travel all the way to a major city to obtain specialized medical care. Most all their medical needs can be taken care of right here in the rogue valley. We want doctors who excel at their profession, care about the patient as a whole, and want to collaborate within a community of like-minded doctors. The doctors we employ also treat all comers. That means we will treat medicare, medicaid, and uninsured patients that many self-employed doctors often limit or turn away. This in turn has the added advantage of keeping patients out of the busy emergency rooms of the hospitals for basic, non-emergent medical needs simply because the patient cannot find a doctor to treat them. This not only helps keep health care costs down, but also promotes a better outcome for the patient in general. The doctors at asante physician partners are playing a pivotal role in developing a collaborative and coordinated healthcare organization that models effective solutions to the challenges of the current healthcare environment not only in our community, but across the nation as a whole. All the members of asante physician partners share in a commitment to creating a framework for excellence in healthcare. Independent voting board members since the board of directors of asante physician partners is made up of paid employees of either app or a related organization, none are considered to be independent. However, the board of directors of asante, the parent company of app, is made up of entirely independent voting members. The asante board of directors has overriding authority to counter any decision made by the app board if it feels an app boards decision is contrary to the exempt mission of app.”
