Tthe board of directors shall elect an executive committee consisting of the officers of the corporation and the executive director as a non-voting member, plus such other members of the board of directors, if any, as the officers deem appropriate. The executive committee may exercise all powers and authority of the board of directors in the management of the corporation between meetings if necessitated by unusual circumstances. Such decisions are subject to ratification by the board of directors at its next board meeting. The executive committee also is responsible for the annual performance evaluation of the executive director and for making recommendations to the board with respect to his/her performance, continuing tenure, and compensation. The board president chairs the executive committee.
