“The 990 as prepared shall be provided to each member of the board in adequate time to permit the board to review the form 990 and submit questions, if any, to the preparer. The form 990 must be submitted to the board in advance of the meeting during which the board will approve the form 990 for filing.”

Board members provide verbal reporting to the board of conflicts or potential conflicts that may arise during the year. If a conflict of interest is determined to exist, the director with the conflict is asked to leave the room during board meetings for final discussion and the final vote. “Ihpc is a not-for-profit corporation and has been granted exemption from income taxes under section 501(c)(3) of the internal revenue code. Ihpc is not classified as a private foundation. The code requires that tax-exempt organizations must comply with federal tax law to maintain tax-exempt status and avoid penalties. Ihpc is subject to a tax on income from any unrelated business income. Ihpc has no unrelated business activity as defined by section 509 (a) (1) of the code. Ihpc evaluates all significant tax positions under a more likely than not threshold as required by u.s. Gaap. As of december 31, 2024 and 2023, ihpc does not believe that it has taken any tax positions that would require the recording of any additional tax liability nor does it believe that there are any unrealized tax benefits that would either increase or decrease within the next twelve months. Generally, tax years from 2021 through the current year remain open to examination. Ihpc does not believe that the results from any examination of these open years would have a material adverse effect on ihpc.”
