To ensure that the organization operates in a manner consistent with its charitable purposes, periodic reviews will be conducted. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the actual or possible conflict of interest and disclose all material facts surrounding the proposed transaction or arrangement. Once disclosed, the interested person will leave the board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining members will decide if a conflict of interest exists. If a conflict exists, the interested person abstains from voting.”
