Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the organization's auditor. Management completes a comprehensive checklist providing answers to questions throughout this form. The information is compiled and input into the appropriate 990 forms, at which time the preparer meets with management to review the input. After management approval, a draft copy of the 990 is emailed to all board members for their preliminary review. The board then discusses both the form 990 and the audited financial statements and approves both at the annual meeting.

The board of directors annually reviews and discusses conflicts of interest during the annual meeting. Furthermore, the executive vice president periodically reviews and discusses the policy with employees to review for conflicts.

Accreditation program mia accreditation for natural stone fabricators and commercial contractors recognizes those companies that meet the industry's highest standards for business activities, product knowledge, fabrication and installation. To earn mia accreditation, a company must complete an intensive, rigorous process that includes documentation of its business and employment practices, letters of recommendation, a written examination and site visits to the facility and completed jobs. Advertising the mia continues to advertise on behalf of the natural stone industry in publications catering to designers and architects. This outreach is crucial to our mission of promoting the use of natural stone and to exposing the design community to mia member companies. Education: continuing education program (ceu) for architects and designers continued to be a ceu provider for the american institute of architects, national kitchen & bath association, american society of interior designers (asid), interior designers of canada (idc), interior design educators council (idec), international interior design association (iida), the landscape architecture continuing education system (la ces) which is a collaboration of: the american society of landscape architects (asla), canadian society of landscape architects (csla), council of educators in landscape architecture (cela), council of landscape architectural registration boards (clarb), landscape architectural accreditation board (laab), and landscape architecture foundation (laf). In 2004, mia introduced the concept of mia members (through a 'train the trainer' program), providing training to architects using mia's powerpoints and the mia's aia ceu provider status. Major promotion and training was continued in 2016. Education mia partners with stoneworld magazine to provide regional education the mia again combined forces with stone world magazine to deliver a series of regional education programs for the stone industry. This program offered seminars throughout the us and focused on: analyzing the cost of doing business; exploring alternative product lines and services; showcasing techniques and tips for templating, fabrication and installation; sharing management tips that drive successful stone companies and much more. Endorsed partner program mia members are encouraged to take advantage of an array of value-added business services. The mia's member-friendly, cost-saving business services include collections services, freight & small package shipping, credit card processing, office supplies, lead referrals, and utilities. Ipad applications the mia updated one ipad application to promote the use of natural stone to architects and designers: the stones of north america app displays stones in vivid color and offers an array of dynamic capabilities and valuable content for stone selection and use. Users can explore natural stones by type, color, intended use, location, and distance from a project. The third version of this app was released. Migliori award for lifetime achievement the migliori award was established in 2003 to recognize an individual (on a yearly basis) who has made extraordinary contributions to the natural stone industry and the mia. The award is named for mia's long-time technical director, the late vincent r. Migliore, who was its first recipient. Award winners are chosen by the mia board of directors from nominations submitted by the mia membership. Mia natural stone scholarship this scholarship was established in 2004 to provide educational opportunities for aspiring fabricators, installers, or administrative apprentices interested in furthering their careers within the natural stone industry. Funds are made available through the generous donations of mia members worldwide. Applications are reviewed by a committee of the mia board of directors, mia staff, and industry veterans. The organization's annual audit is performed by the independent auditor, reviewed internally with management during a draft meeting, then emailed to the board of directors for their review and questions. The board of directors votes to accept the audit at the organization's mid-year board of directors meeting.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal income taxes under internal revenue code section 501(c) (6) and therefore has made no provision for federal income taxes in the accompanying financial statements. The organization is no longer subject to tax examinations for tax years before 2013 by taxing authorities in jurisdictions where the organization has filed returns. The organization evaluates at each balance sheet date uncertain tax positions taken, if any, to determine the need to record liabilities for taxes, penalties, and interest. The organization's policy is to record interest and penalties on uncertain tax provisions as income tax expense. As of december 31, 2016 and 2015, the organization had no accrued taxes, interest or penalties related to uncertain tax positions. The organization estimates the unrecognized tax benefit will not change significantly within the next twelve months.
