The michigan environmental council is a membership organization. As stated in our articles of incorporation, membership in the michigan environmental council shall be open to organizations concerned with the general welfare of the environment, and whose purposes are consistent with those of the organization. Membership is also extended to individuals elected to serve as at-large directors and who have signed michigan environmental council's code of conduct and conflict of interest policies.

Members of the michigan environmental council elected 4 of the 12 members of the mec board of directors at our annual meeting, which was held in the third quarter of the year.

The initial draft of form 990 is reviewed for accuracy by the president and chief operating officer. The draft is also shared with mecs independent accountant for feedback. Proposed changes are communicated to the separate accounting firm responsible for conducting the audit and preparing the form 990. Once suggested revisions are incorporated, the updated draft is reviewed by the chair of the mec audit and finance committee, a member of the board of directors. The revised draft is then made available to the full board of directors for review prior to filing

Mec's conflict of interest policy is included as an agenda item at the board of directors' fourth quarter meeting each year. Board members are asked to disclose any new relationships or actions requiring disclosure under the policy that have not been previously reported. Disclosure forms are distributed in advance of and during the meeting for completion and signature. Completed forms are collected and tracked to ensure full compliance by all board members.

Mec's board of directors engages an independent search firm, noetic search, to recruit the next ceo. Noetic search and the organization agree to review and discuss the position to align on its purpose, official title, reporting relationship, job functions, location, duties and accountabilities, performance expectations, compensation, qualifying credentials, job requirements, and working salary range for the position. A board committee conducts a performance review of the ceo every two years, which includes a staff survey and interviews with staff and other stakeholders. The results of this evaluation inform compensation adjustments.

Supporting the organization's mission to advocate for the future of michigan's environment and to help preserve its integrity.

Form 990, Page 2, Part III, Line 4D

Detroit:mec believes that michigan's largest city should also be its greenest and most sustainable and that its residents and leaders should be helping shape the environmental agenda for the state. They work to ensure that detroit's neighborhoods, and in particular, the denby neighborhood, have access to clean and safe recreational opportunities. Mec works to expand recycling and compost services for residents. And they help establish and implement the policy framework for environmental sustainability throughout the city. Healthy people: mec is fighting to reduce exposures to lead and other dangerous substances; curb asthma-inducing air pollution; keep air and water pollution sources away from schools, day care centers and homes; and improve access to healthful foods and recreational opportunities as part of a broader strategy to address childhood obesity in michigan. They maintain a statewide network of partners working on environmental health issues at the grassroots, local, state, federal, and academic levels, using their insights, experience, and reach to shape and build support for protective policies. Sustainable communities: mec calls for re-investment in michigan's urban centers and other established communities as an antidote to sprawl and the loss of open spaces. They support transformative change to michigan's transportation system to catalyze sustainable land-use, spur economic activity in our cities and towns, and connect people to places where they live, work, and play. Mec favors investments in public parks and natural areas, and promotes sustained, healthy ecosystems and biological diversity.

SUSTAINABLE COMMUNITIES: MEC CALLS FOR RE-INVESTMENT IN MICHIGAN'S URBAN CENTERS AND OTHER ESTABLISHED COMMUNITIES AS AN ANTIDOTE TO SPRAWL AND THE LOSS OF OPEN SPACES.
