Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership consists of persons serving on the board or established in the bylaws.

Form 990, Part VI, Section A, Line 7A

Board members have the right to vote on the election of one or more members of the governing body.

Form 990, Part VI, Section B, Line 11B

The audit committee will conduct an initial review of the 990. All board members will be given a copy of the draft 990 for review along with the audited financial statements. Each member will be expected to reply to the director of finance/administration that they are satisfied with the 990 and approve submission.

Form 990, Part VI, Section B, Line 12C

The board of directors shall be the final arbiter of any debate or dispute as to whether a board member is in a position which creates an actual or a potential conflict of interest, or the appearance of a conflict of interest, and if so, whether this policy and/or the best interest of the agency based on the spirit of this policy, require that the member be disqualified from voting on a specific issue which has been raised for a board decision. Because of the importance of a decision limiting a member's right to vote, a 2/3 majority of the members present shall be required in order to disqualify a member from voting based on a conflict of interest. Staff members are asked to complete the same conflict of interest questionnaire that the board completes.

Form 990, Part VI, Section B, Line 15

The director of finance/administration prepares comparable data for the board including other like size non-profits and other protection & advocacy agencies around the country along with the michigan non-profit association salary survey results. This data is used in salary determination for the executive director.

Form 990, Part VI, Section C, Line 19

The afs and a-133 audit, 990, board meeting minutes, and ppr's are all available on the drm website. Any other documents can be requested.

Financial Statement Notes

PART X, LINE 2:

In the preparation of tax returns, tax positions are taken based on interpretation of federal, state and local income tax laws. Management periodically reviews and evaluates the status of uncertain tax positions and makes estimates of amounts, including interest and penalties, ultimately due or owed. No amounts have been identified, or recorded, as uncertain tax positions. Federal, state and local tax returns generally remain open for examination by the various taxing authorities for a period of three to four years.

IRS990/ProgSrvcAccomActy3Grp/Desc0VACCINE GRANTS: DRM FACILITATED 1,845 COVID VACCINATIONS AND 1,099 FLU VACCINATIONS IN FY24. DRM STAFF DEVELOPED 63 NEW CONNECTIONS WITH COMMUNITY ORGANIZATIONS AND OFFERED INFORMATION AT OTHER EVENTS WHERE 336 PEOPLE RECEIVED COVID VACCINATIONS. THESE ARE HARD TO FIND PEOPLE, UNABLE TO LEAVE HOME OR LIVING IN PUBLIC OR SENIOR HOUSING OR IN FACILITIES. OUR REVIEW OF DATA CONCLUDED AT LEAST 50% OF THE INDIVIDUALS AT ALL THESE EVENTS ANSWERED "YES" TO ONE OR MORE QUESTIONS ABOUT THEIR DISABILITY STATUS. OVER 35% WERE OVER 65 YEARS OLD, AND OVER 28% IDENTIFIED AS BLACK OR AFRICAN AMERICAN. DRM INTRODUCED AN INTERACTIVE STATEWIDE MAP OF TRANSPORTATION RESOURCES IN FEBRUARY 2024. THIS MAP WAS DEVELOPED IN RESPONSE TO SURVEYS SHOWING TRANSPORTATION AS A BARRIER TO GETTING TO COVID-19 TESTING AND VACCINATION SITES. THE TRANSPORTATION SITE WAS VIEWED 25,077 TIMES ON DRM'S WEBSITE AND 289,587 TIMES THROUGH ORGANIC AND PAID SOCIAL MEDIA ADVERTISING IN FY24. DRM COLLABORATED WITH ISSUE MEDIA GROUP (IMG) TO WRITE AND DISTRIBUTE A STATEWIDE 8-STORY DISABILITY INCLUSION SERIES FEATURING COVID-19 VACCINATIONS AND HIGHLIGHTING THE WORK OF DRM'S VACCINE ADVOCACY TEAM. THE SERIES WAS PUBLISHED IN STATEWIDE AND REGIONAL MARKETS AND REACHED 773,000, WITH AN ONLINE ENGAGEMENT OF 1,000 INDIVIDUALS (LIKES, SHARES, COMMENTS). THE VACCINE ADVOCACY TEAM ALSO RAN A SOCIAL MEDIA CAMPAIGN WHICH INCLUDED ORGANIC (FREE) AND PAID DISTRIBUTION. THIS CAMPAIGN WAS EXTREMELY SUCCESSFUL, CREATING OVER 1.4 MILLION IMPRESSIONS THROUGH SOCIAL MEDIA AND PAID GOOGLE ADS AND TOPPING THE LIST OF PAGEVIEWS ON THE DRM WEBSITE IN FY24.
