Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership consists of persons serving on the board or established in the bylaws.

Form 990, Part VI, Section A, Line 7A

Board members have the right to vote on the election of one or more members of the governing body.

Form 990, Part VI, Section B, Line 11B

The audit committee will conduct an initial review of the 990. All board members will be given a copy of the draft 990 for review along with the audited financial statements. Each member will be expected to reply to the director of finance/administration that they are satisfied with the 990 and approve submission.

Form 990, Part VI, Section B, Line 12C

The board of directors shall be the final arbiter of any debate or dispute as to whether a board member is in a position which creates an actual or a potential conflict of interest, or the appearance of a conflict of interest, and if so, whether this policy and/or best interest of the agency based on the spirit of this policy, require that the member be disqualified from votiing on a specific issue which has been raised for a board decision. Because of the importance of a decision limiting a member's right to vote, a 2/3 majority of the members present shall be required in order to disqualify a member from voting based on a conflict of interest. Staff members are asked to complete the same conflict of interest questionnaire that the board completes.

Form 990, Part VI, Section B, Line 15

The director of finance/administration prepares comparable data for the board including other like size non-profits and other protection and advocacy agencies around the country along with the michigan non-profit association salary survey results. This data is used in salary determination for the executive director.

Form 990, Part VI, Section C, Line 19

The afs and a-133 audit, 990, board meeting minutes, and ppr's are all available on the drm website. Any other documentation can be requested.

Financial Statement Notes

PART X, LINE 2:

In the preparation of tax returns, tax positions are taken based on interpretation of federal, state, and local income tax laws. Management periodically reviews and evaluates the status of uncertain tax positions and makes estimates of amounts, including interest and penalties, ultimately due or owed. No amounts have been identified, or recorded, as uncertain tax positions. Federal, state, and local tax returns generally remain open for examination by the various taxing authorities for a period of three to four years.

IRS990/ProgSrvcAccomActyOtherGrp/Desc3VACCINE GRANTS: THE COVID-19 VACCINE ADVOCACY FUNDING WAS INITIALLY PLANNED TO CONCLUDE AT THE END OF FY25 AND DRM WAS SET TO CLOSE THE PROJECT IN Q1. DRM BEGAN TO SCALE DOWN PROJECT STAFFING AT THE END OF FY24, WITH ADDITIONAL REDUCTIONS IMPLEMENTED FOR FY25. DUE TO THE ONGOING NEED FOR VACCINE EDUCATION AND OUTREACH WITHIN UNDERSERVED COMMUNITIES, DRM DECIDED TO FULFILL THE CONTRACT. HOWEVER, WITH THE TRANSITION TO THE NEW FEDERAL ADMINISTRATION, FUNDING FOR THE INITIATIVE WAS CONCLUDED IN Q2. CONSEQUENTLY, PROJECT ACTIVITIES AND OUTCOMES REFLECT ONLY TWO QUARTERS. AT THE END OF FY24, DOCGO, DRM'S PRIMARY MOBILE CLINIC PROVIDER, DID NOT RENEW ITS CONTRACT WITH DRM. THE LOSS OF DOCGO SIGNIFICANTLY IMPACTED THE PROGRAM'S CAPACITY TO PROVIDE ON-SITE AND CLINIC VACCINATION SERVICES. DESPITE THIS REDUCTION IN OPERATIONAL ABILITY, DRM SUCCESSFULLY ADMINISTERED 375 COVID VACCINATIONS AND 449 FLU SHOTS AT 17 EVENTS HELD IN COLLABORATION WITH LOCAL HEALTH DEPARTMENTS AND A NEW PRIVATE PROVIDER, FNP COLLABORATIVE SOLUTIONS. THESE EFFORTS ENSURED CONTINUED COMMUNITY ACCESS TO VACCINATION AND HEALTH EDUCATION RESOURCES. DRM'S COMMUNICATIONS TEAM ACTIVELY SHARED UPDATES ON COVID-19 TESTING AND NATIONAL INFLUENZA WEEK ACROSS FACEBOOK AND INSTAGRAM. TO SUPPORT THE WORK, DRM LAUNCHED A SOCIAL MEDIA CAMPAIGN AIMED TO DRIVE AWARENESS WITHIN THE STATE OF MICHIGAN REGARDING AVAILABLE COVID-19 VACCINE RESOURCES. THE CAMPAIGN PROVIDED CLEAR, ACCESSIBLE INFORMATION THROUGH THE DRM VACCINE ADVOCACY LANDING PAGE. THE CAMPAIGN LEVERAGED GOOGLE ADS AND FACEBOOK (META-ADS), PRIORITIZING VISIBILITY AND MEETING PLATFORM GUIDELINES AND RESTRICTIONS. THE CAMPAIGN REACHED A TOTAL OF 127,653 INDIVIDUALS AND SHOWED A STRONG CLICK-THROUGH RATE. THE VACCINE PROGRAM WAS SCHEDULED TO RUN THROUGH JUNE 2025, BUT DUE TO FEDERAL FUNDING CUTS THE CAMPAIGN ENDED IN Q2. TO DATE, THE DRM TRANSPORTATION GUIDE/MAP LANDING PAGE IS ONE OF THE MOST VISITED FEATURES ON THE DRM WEBSITE. THIS PAGE, AN INTERACTIVE STATEWIDE MAP OF TRANSPORTATION RESOURCES, WAS DEVELOPED IN RESPONSE TO SURVEYS SHOWING TRANSPORTATION AS A BARRIER TO GETTING TO COVID-19 TESTING AND VACCINATION SITES. DRM STAFF WERE ACTIVE IN COMMUNITY EFFORTS TO PROMOTE THIS VALUABLE RESOURCE AND PARTICIPATED IN LOCAL ADVISORY GROUPS TO HEAR COMMUNITY INPUT ON TRANSPORTATION ISSUES. STAFF SHOWCASED THE MAP FOR THE BRAIN INJURY ASSOCIATION OF MICHIGAN'S (BIAMI) EDUCATES SERIES, CREATED A VIDEO FOR THE EPILEPSY FOUNDATION OF MICHIGAN'S ANNUAL "CHALLENGE OF THE YEAR" WHOSE TOPIC WAS "INNOVATIONS IN TRANSPORTATION.", PRESENTED AT THE ANNUAL DETROIT MOVES FORUM ABOUT THE TRANSPORTATION LANDING PAGE, STRESSING THE IMPORTANCE OF COMPLETE STREETS AND ACCESSIBILITY FOR ALL, AND ATTENDED A MEETING WITH THE WASHTENAW MOBILITY LEADERSHIP CIRCLE. DRM MET DISABILITY NETWORK MICHIGAN AND THE MICHIGAN PUBLIC TRANSIT ASSOCIATION (MPTA) TO DISCUSS FORMING A PUBLIC TRANSIT ADVOCACY COALITION AND USING THE DRM TRANSPORTATION WEBSITE TO FURTHER MUTUAL ADVOCACY GOALS. A TOTAL OF 11,243 INDIVIDUALS VISITED DRM'S VACCINE ADVOCACY TRANSPORTATION MAP IN FY25.
