Governance Explanations

The members of the organization are duly appointed by the board of directors of the delta dental plan of michigan, inc.

Form 990, Part VI, Section B, Line 11B

The information presented on the form 990 is gathered by the senior tax administrator for the organization. The cfo reviews the information. Once approved the information is given to outside tax preparers who prepare and review the form 990. Once complete an electronic copy of the form 990 is placed in a secure portal for the board to review, prior to the form 990 being filed with the irs.

Form 990, Part VI, Section B, Line 12C

The company's vice president, general counsel, and compliance officer is charged with reviewing and monitoring any potential conflict of interest transactions. All members of the board of directors, officers, and key employees are required to review and execute a conflict of interest policy. This policy requires that any conflicts of interest be disclosed on an annual basis, or at any other time that the person executing the policy becomes aware of a situation or transaction that actually or potentially creates a conflict of interest. All conflict of interest disclosure forms are initially reviewed by the vice president, general counsel, and compliance officer. If a prohibited transaction is identified, the matter is escalated to the ceo and to the audit, finance and risk management committee of the board of directors for further review and appropriate action. In the event of a conflict of interest involving a member of the board of directors, such as a vote, in which a member has an interest, the member is required to disclose the potential conflict and abstain from any vote on the matter. Whether further precautions are required (e.g., prohibiting the interested party from engaging in discussions) would depend upon the specific nature and background of the conflict.

Form 990, Part VI, Section B, Line 15

Compensation of the ceo and other executives is determined by a related organization, delta dental plan of michigan, inc. Outside compensation consultants are used to determine market data which is used to set total compensation for officers and key employees including ceo, coo and cfo. The related organization contracts with towers watson to do a compensation and reasonableness analysis every two years. Compensation is set based on the data provided, by the compensation committee of the board of directors. Towers watson also provides an opinion as to the reasonableness of the total compensation packages, including base pay, incentive, benefits and retirement benefits. The compensation was last reviewed under this process during 2018.

SINCE THE FOUNDATION WAS ESTABLISHED IN 1980, WE HAVE CONTINUALLY INCREASED OUR EFFORTS TO ACHIEVE THESE GOALS IN MICHIGAN, OHIO, INDIANA, AND NORTH CAROLINA. SEE SCHEDULE O FOR CONTINUATIONSINCE 1980, THE INAUGURAL YEAR FOR THE FUND, OVER 1000 DENTAL STUDENTS HAVE BEEN SUPPORTED THROUGH THE SCHOLARSHIP PROGRAM AND STUDENT LEADERSHIP AWARDS. IN 2018, 50 DENTAL STUDENTS AND DENTAL HYGIENE STUDENTS FROM DENTAL SCHOOLS IN MICHIGAN, OHIO, AND INDIANA, RECEIVED FINANCIAL GRANTS THROUGH THE FUND TO APPLY TOWARD THE COST OF EDUCATION. DELTA DENTAL FUND HAS PROVIDED OVER $1.5 MILLION IN SCHOLARSHIPS SINCE ITS INCEPTION. FURTHER, WE PROVIDED COMMUNITY COMMITMENT AWARDS OF $25,000 EACH TO FOUR GRADUATING DENTAL STUDENTS WHO HAVE COMMITTED TO PRACTICING FOR ONE YEAR IN AN IDENTIFIED HIGH-NEEDS COMMUNITY IN MICHIGAN, OHIO, AND INDIANA. IN ADDITION TO PROVIDING THESE SCHOLARSHIPS, THE DELTA DENTAL FUND ALSO CONTINUES TO RECOGNIZE FOURTH YEAR DENTAL STUDENTS FROM EACH DENTAL SCHOOL WITH THE PRESTIGIOUS STUDENT LEADERSHIP AWARD FOR THEIR OUTSTANDING COMMITMENT TO DENTISTRY AND TO THEIR COMMUNITIES. EDUCATION DOES NOT STOP WITH GRADUATION. CONTINUING EDUCATION IS NECESSARY TO STAY CURRENT WITH ADVANCEMENTS IN TREATMENT AND POLICIES AND IS MANDATORY TO MAINTAINING A LICENSE IN SOME STATES. DELTA DENTAL FUND ASSISTS PRACTICING DENTISTS BY SPONSORING AND CO-SPONSORING SEMINARS IN DENTAL SCIENCE AND RELATED TOPICS. IN 2018, THE FUND IN ADDITION TO REGIONAL SEMINARS, PARTNERED WITH THE UNIVERSITY OF MICHIGAN, SCHOOL OF DENTISTRY SEMINARS, THAT WERE ATTENDED BY MORE THAN 684 DENTAL PROFESSIONALS.ON THE RESEARCH FRONT, IN 2018 WE AWARDED OVER $90,000 IN RESEARCH GRANTS FOR MASTER'S THESIS AWARDS AND FACULTY RESEARCH. AS ALWAYS, THIS YEAR'S GRANTS ARE SUPPORTING A WIDE VARIETY OF RESEARCH TOPICS. WE CONTINUED OUR BRIGHTER FUTURES COMMUNITY GRANTS PROGRAM THIS YEAR IN MI, OH AND IN AND WILL AWARD $150,000 IN SMALL GRANTS OF $5,000 OR LESS TO ORGANIZATIONS FOCUSED ON IMPROVING ORAL HEALTH IN THE MARKETS WE SERVE. THIS YEAR ALSO MARKS THE EIGHTH YEAR OF OUR SMILES FOR KIDS GRANT PROGRAM IN NORTH CAROLINA WHICH FOCUSES EXCLUSIVELY ON CHILDREN'S ORAL HEALTH.IN OHIO, WE PROVIDED A $1 MILLION COMMITMENT TO CASE WESTERN RESERVE UNIVERSITY SCHOOL OF DENTISTRY FOR THE NEW DELTA DENTAL ADVANCED EDUCATION IN GENERAL DENTISTRY CLINIC. THIS SPECIALTY CLINIC IS PART OF THE SCHOOL'S NEW COMMUNITY DENTAL CLINIC WHICH WILL OPEN IN THE SPRING OF 2019 AND IS EXPECTED TO SERVE 25,000 PATIENTS PER YEAR. AS A RESULT OF A $300,000 GRANT, ONE OF OUR LONG-STANDING HEALTH PARTNERS, GREAT LAKES BAY HEALTH CENTER, OPENED A NEW DENTAL CLINIC IN SAGINAW WITH 16 TREATMENT ROOMS.IMPROVING CHILDREN'S ORAL HEALTH REMAINS A MAJOR FOCUS FOR THE FOUNDATION, ESPECIALLY AS IT RELATES TO SUPPORT FOR SCHOOL-BASED PREVENTIVE PROGRAMS. THROUGH OUR SUPPORT OF DENTAL SEALANT PROGRAMS, WE WERE ABLE TO PLACE 17,659 SEALANTS ON CHILDREN'S TEETH THIS YEAR THROUGHOUT MICHIGAN, OHIO AND INDIANA. IN ADDITION, WE RECENTLY CELEBRATED THE GRAND OPENING OF THE DELTA DENTAL CENTER AT THE ACADEMY OF WORLD LANGUAGES IN THE CINCINNATI PUBLIC SCHOOL DISTRICT. SIMILAR TO THE DELTA DENTAL CENTER AT OYLER SCHOOL, WHICH HAS BECOME A NATIONAL MODEL FOR SCHOOL BASED HEALTH CARE, CHILDREN ARE ABLE TO ACCESS HEALTH, VISION AND DENTAL CARE ALL IN ONE LOCATION AT THIS SCHOOL BASED HEALTH HUB.
