Governance Explanations

The members of the organization are duly appointed by the board of directors of the delta dental plan of michigan, inc.

Form 990, Part VI, Section B, line 11

The information presented on the Form 990 is gathered by the senior tax administrator for the organization. The CFO reviews the information. Once approved the information is given to outside tax preparers who prepare and review the Form 990. Once complete an electronic copy of the Form 990 is put onto a website for the board to review, prior to the form 990 being filed with the IRS.

Form 990, Part VI, Section B, line 12C

The Company's Vice President and General Counsel is charged with reviewing and monitoring any potential conflict of interest transactions. All members of the board of directors, officers, and key employees are required to review and execute a conflict of interest policy. This policy requires that any conflicts of interest be disclosed on an annual basis, or at any other time that the person executing the policy becomes aware of a situation or transaction that actually or potentially creates a conflict of interest. All conflict of interest disclosure forms are initially reviewed by the Vice President and General Counsel. If a prohibited transaction were identified, the matter would be brought to the Chairperson of the Board for further review and appropriate action. In the event of a conflict of interest involving a member of the Board of Directors, such as a conflict in which a member had an interest, the member is required to disclose the potential conflict and abstain from any vote on the matter. Whether further precautions are required (e.g., prohibiting the interested party from engaging in discussions) would depend upon the specific nature and background of the conflict.

Form 990, Part VI, Section B, line 15

Outside compensation consultants are used to determine market data for the executive positions and for other officers and key employees. THE POSITIONS COVERED ARE THE CEO and CFO. THE ORGANIZATION CONTRACTS WITH TOWERS WATSON TO DO A COMPENSATION AND REASONABLENESS ANALYSIS EVERY TWO YEARS. The final determination of compensation is done by the Executive Committee of the Board of Directors, which is made up of independent persons, and is based on the comparability data provided by the compensation consultants. The deliberations and decisions regarding the compensation are contemporaneously documented in the committee minutes and approved by the board. THE COMPENSATION WAS LAST REVIEWED UNDER THIS PROCESS DURING 2014. THE REPORT BASED ON THIS REVIEW WAS THEN ISSUED BY THE CONSULTANTS IN JUNE 2015.

Certain employees are officers of multiple companies within the larger organization. The average hours worked reflects approximate time spent in each of those individual companies. SINCE THE FOUNDATION WAS ESTABLISHED IN 1980, WE HAVE CONTINUALLY INCREASED OUR EFFORTS TO ACHIEVE THESE GOALS IN MICHIGAN, OHIO, INDIANA, AND NORTH CAROLINA. SEE SCHEDULE O FOR CONTINUATIONSINCE 1980, THE INAUGURAL YEAR FOR THE FUND, MORE THAN 900 DENTAL STUDENTS HAVE BEEN SUPPORTED THROUGH THE SCHOLARSHIP PROGRAM AND STUDENT LEADERSHIP AWARDS. IN 2015, 47 DENTAL STUDENTS AND DENTAL HYGIENE STUDENTS FROM DENTAL SCHOOLS IN MICHIGAN, OHIO, AND INDIANA, RECEIVED FINANCIAL GRANTS THROUGH THE FUND TO APPLY TOWARD THE COST OF EDUCATION. DELTA DENTAL FUND HAS PROVIDED NEARLY $1.3 MILLION IN SCHOLARSHIPS OVER THE PAST 35 YEARS.IN ADDITION TO PROVIDING THESE SCHOLARSHIPS, THE DELTA DENTAL FUND ALSO CONTINUES TO RECOGNIZE FOURTH YEAR DENTAL STUDENTS FROM EACH DENTAL SCHOOL WITH THE PRESTIGIOUS STUDENT LEADERSHIP AWARD FOR THEIR OUTSTANDING COMMITMENT TO DENTISTRY AND TO THEIR COMMUNITIES. EDUCATION DOES NOT STOP WITH GRADUATION. CONTINUING EDUCATION IS NECESSARY TO STAY CURRENT WITH ADVANCEMENTS IN TREATMENT AND POLICIES AND IS MANDATORY TO MAINTAINING A LICENSE IN SOME STATES. DELTA DENTAL FUND ASSISTS PRACTICING DENTISTS BY SPONSORING AND CO-SPONSORING SEMINARS IN DENTAL SCIENCE AND RELATED TOPICS. IN 2015, THE FUND IN ADDITION TO REGIONAL SEMINARS, PARTNERED WITH THE UNIVERSITY OF MICHIGAN, SCHOOL OF DENTISTRY SEMINARS, THAT WERE ATTENDED BY MORE THAN 1,200 DENTAL PROFESSIONALS.ON THE RESEARCH FRONT, 2015 MARKS THE EIGHTH YEAR WE'VE AWARDED NEARLY $100,000 IN RESEARCH GRANTS FOR MASTER'S THESIS AWARDS AND FACULTY RESEARCH. WE CONTINUED OUR BRIGHTER FUTURES COMMUNITY GRANTS PROGRAM THIS YEAR IN MICHIGAN, OHIO, AND INDIANA AND WILL AWARD $150,000 IN SMALL GRANTS OF $5,000 OR LESS TO ORGANIZATION FOCUSED ON CHILDREN'S ORAL HEALTH AND $100,000 TO PROGRAMS WITH AN ADULT FOCUS. THIS YEAR ALSO MARKS THE FIFTH YEAR OF OUR SMILES FOR KIDS GRANT PROGRAM IN NORTH CAROLINA WHICH FOCUSES EXCLUSIVELY ON CHILDREN'S ORAL HEALTH.DURING 2015, THE FUND COMMITTED $364,907 TO FUND A NEW MOBILE DENTAL COACH FOR THE UNIVERSITY OF DETROIT MERCY DENTAL SCHOOL. THROUGH THE MOBILE COACH, COMPREHENSIVE DENTAL CARE IS PROVIDED TO THOUSANDS OF AT-RISK CHILDREN IN WAYNE COUNTY, MICHIGAN.IN MICHIGAN, WE AWARDED $300,000 TO THE MICHIGAN DEPARTMENT OF COMMUNITY HEALTH TO SUPPORT THE SEAL! MICHIGAN AND COMMUNITY WATER FLUORIDATION PROGRAMS. THE FOUNDATION'S TOTAL GRANTS HAVE NOW EXCEEDED OVER TWENTY TWO MILLION DOLLARS SINCE ITS FORMATION. THIS FUNDING HAS IMPROVED ORAL AND OVERALL HEALTH, ADDED TO WHAT WE KNOW ABOUT DENTAL SCIENCE, HELPED STUDENTS ACHIEVE THEIR GOALS AND IMPROVED THE WELL-BEING OF THOUSANDS OF CHILDREN AND ADULTS IN THE TRISTATES AND NORTH CAROLINA.
