Governance Explanations

Form 990, Part VI, Section A, Line 7B

The current bishop of the episcopal diocese of michigan serves as a permanent member of the board of trustees. All nominees of the board of trustees must be approved by the bishop.

Form 990, Part VI, Section B, Line 11

The board of trustees engages an independent certified public accounting firm to prepare form 990. The board of trustees is provided a copy of form 990 with the audited financial statements at a quarterly meeting if the return is available at that time.

Form 990, Part VI, Section B, Line 12C

The board of trustees and the staff of the organization sign a conflict of interest statement in which they are to report any potential conflicts of interest. The conflict of interest policy statement will be called to the attention of the trustees on an annual basis at a meeting of the trustees and is recorded in the minutes of such meeting.

Form 990, Part VI, Section B, Line 15A

The executive committee of the board of trustees develops and approves the compensation package for the chief executive officer, which is part of a written contract between the organization and the officer.

Form 990, Part VI, Section C, Line 19

Requests for access to the governing documents, conflict of interest policy, and financial statements, which by law are open to public access, may be made by application to the organization.
