To provide primary health care services to the indigent population. In 2014, our organization saw 19,617 patients and had 52,530 visits. 52.9% of these patients were below 200% of income as a percent of poverty level.

Governance Explanations

Form 990, Part VI, Section B, Line 11

The process used by the organization is to provide a copy of the form 990 to the entire board prior to submission.

Form 990, Part VI, Section B, Line 12C

The human resources department manages and reviews the conflict of interest policy. The policy is reviewed with employees during the orientation process and at least annually during the compliance training session. All officers, board members and key employees are required to annually complete a conflict of interest form. They are reviewed and any person identified as having a potential conflict is given direction as to what steps should be taken to mitigate the concern. When a board member, officer or employee has a question concerning a possible conflict of interest, it is expected that he/she will request advice from management, human resources or the compliance officer. If, after an investigation, it is determined that a board member has violated the conflict of interest policy, the board member shall be entitled to a hearing before the full board. In the event that the full board determines by a majority vote that the accused board member has in fact violated the policy, then the board member will be immediately removed as a member of the board of trustees.

Form 990, Part VI, Section B, Line 15

The process for determining compensation is as follows: independent members of the governing body are utilized to increase structure surrounding compensation decisions. Job requirements and performance expectations are documented and a total compensation strategy is articulated. Independent surveys and research is performed to identify comparable market data. An independent advisor along with the executive committee is utilized to review the process. All compensation changes and related decisions are documented and voted upon by the governing body. Compensation is reviewed on an annual basis. This process last occurred in 2014.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from income tax under provisions of internal revenue code section 501(c)(3). Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by the irs or other applicable taxing authorities. Management has analyzed the tax positions taken by the organization and has concluded that as of december 31, 2014, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes it is no longer subject to income tax examinations for years prior to december 31, 2011.
