Finance and budget committee meets with executive director and accountant/tax preparer prior to monthly board meeting to review 990 and 990-t return along with final year end financial statements. Specific financial questions/concerns addressed at this initial review meeting with any corrections (adj general journal entries/re-run of financial statements and tax returns) being made prior to monthly general board meeting where it is distributed, reviewed and voted on for approval by complete board.

Board member's code of conduct contains language addressing conflict of interest that includes the limitation of business transactions involving board members and the executive director as well as a process for disclosing any possible conflict of interest which includes an annual conflict of interest disclosure statement be completed by each board member/executive director and requires board members abstain from participating in any activities that may have implied conflict. If board member/executive director suspects/believes there has been a failure to disclose a potential conflict of interest, he/she will approach the individual(s) involved to allow for opportunity to explain and correct. If it is decided that there has been an intentional failure to disclose a potential conflict of interest the board shall have the right to take whatever discplinary/corrective action it deems neccessary.

Executive director compensation is based on performance of job duties outlined in performance agreement and/or board policies as well as clearly defined measurable goals established during annual evaluation with board members. Evaluation committee is comprised of at least two board members who obtain input form the general board on performance measures, concerns to be addressed, and positive feedback to deliver. The evaluation committee reviews the evaluation report with the executive director prior to submitting to the general board for vote and/or approval. The committee also makes a recommendation of pay increase based on outcome of evaluation as well as review of pay history to date.
