Governance Explanations

Form 990, Part VI, Section A, line 6

They have six categories of members: Paving Contractor, Ready Mix Producer, Cement Supplier, Concrete Contractor, Allied Industry and Associate members.

Form 990, Part VI, Section A, line 7A

The paving contractor, ready mix producer, cement supplier, concrete contractor and allied industry members are full members who are entitled to all rights and privileges with full voting rights (each member is entitled to one vote). The associate members cannot vote.

Form 990, Part VI, Section A, line 7B

Annually, there is a meeting where the members make a motion to accept the board of directors.

Form 990, Part VI, Section B, line 11

Form 990 is reviewed at board meeting and also available for review in the office during regular business hours.

Form 990, Part VI, Section B, line 12C

The policy applies to any officer, director or executive staff member with governing board delegated powers. The minutes of the Board and those committees with Board delegated powers shall contain the names of persons who disclosed or otherwise were found to have a personal interest along with any discussions concerning alternatives or votes by the Board. The Board will decide on whether a conflict of interest exists.

Form 990, Part VI, Section B, line 15A

The Executive Committee reviews and makes the final decision on compensation. Compensation is reviewed as needed by our Human Resource consultant, Jodi Schafer, SPHR. Jodi uses comparability data. A compensation review was done in February of 2010 by the HR Consultant. THE EXECUTIVE BOARD ALSO PERFORMED A COMPENSATION REVIEW ON DECEMBER 10, 2015. DURING THE PAST FISCAL YEAR THE EXECUTIVE COMMITTEE APPROVED A BASELINE INCREASE OF 4% EFFECTIVE THE FIRST PAY PERIOD OF JANUARY, 2016.

Form 990, Part VI, Section C, line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
