There are two classes of members: class a membership consists of the original directors of cch, excluding those directors who are elected or appointed by the class b member; the class b member is sparrow health system (sparrow), an unrelated michigan nonprofit corporation. Other than sparrow, there shall be no additional class b membership interests without the consent of sparrow.”

“The internal revenue service has ruled that the hospital is exempt from federal income taxes under section 501(c)(3) of the internal revenue code, and accordingly, no tax provision is reflected in the financial statements. Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the hospital and recognize a tax liability if the hospital has taken an uncertain position that more likely than not would not be sustained upon examination by the irs or other applicable taxing authorities. Management has analyzed the tax positions taken by the hospital and has concluded that as of december 31, 2013, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. The hospital is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes it is no longer subject to income tax examinations for years prior to december 31, 2010.”

CCH CURRENTLY OPERATES A SHORT-TERM, ACUTE-CARE FACILITY AND SEVERAL SATELLITE CLINICS OFFERING INPATIENT AND OUTPATIENT HEALTHCARE SERVICES, PSYCHIATRIC SERVICES, PHYSICIAN SERVICES, AND HOME HEALTH CARE, PRIMARILY TO PATIENTS IN THE CARSON CITY, MICHIGAN AREA, INCLUDING GRATIOT, MONTCALM, CLINTON, AND IONIA COUNTIES. CCH PROVIDES CARE TO PATIENTS WHO MEET CERTAIN CRITERIA UNDER ITS CHARITY CARE POLICY WITHOUT CHARGE OR AT AMOUNTS LESS THAN ESTABLISHED RATES. BECAUSE CCH DOES NOT PURSUE COLLECTION OF AMOUNTS DETERMINED TO QUALIFY AS CHARITY CARE, THEY ARE NOT REPORTED AS REVENUE.
