Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee is made up of the following Board members: Board Chair, Board Vice-Chair, Board Secretary, Board Treasurer, Board Vice-Treasurer and President (ex officio). The Executive Committee has the following duties: 1. Function between board meetings with authority of board (exceptions apply) 2. Monitor current budget 3. Advise the President 4. Conduct regular performance reviews of the President 5. Approve agenda and action items for board meetings 6. Affirm the validity of the mission and vision of the college 7. Identify and understand the environment the college operates in and the needs of the constituencies served through the college's academic programs 8. Identify and articulate what it means to be a Reformed, Bible college 9. Ensure the college's commitment to Reformed theology, witness and worldview 10. Review and confirm Statement of Allegiance, individual trustee and employee commitment to the Doctrinal Statement, and decide on statements of exception to the Doctrinal Statement. 11. Ensure that the board carries out its governance duties thoroughly 12. Identify, recruit, orient new trustees 13. Ensure that individual trustees fulfill their responsibilities 14. Review board structure and make recommendations for changes

Form 990, Part VI, Section B, line 11B

Form 990 is prepared by an independent CPA firm and reviewed in detail by the organization's CFO. The President also reviews the form prior to it being distributed to the Board. The reviewed Form 990 is then emailed to the Board members for review. Any changes or questions noted by the Board are addressed and the final copy of the Form 990 is provided to the Board prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

Board members, officers and key employees are asked to complete the conflict of interest questionaire annually. The questionaire is reviewed by the Board Chair, President and CFO. Should any potential conflicts of interest be disclosed, the entire Board is informed of the potential conflict to assure impartiality, and Board members are excused from the room before discussion on the topic and are unable to vote. In cases of officers or key employees, transactions are reviewed by at least two other officers for arms-length evaluation, competitive cost analysis or competencies of individuals.

Form 990, Part VI, Section B, line 15

The Board determines the President's salary. Comparability data is used, and the approval process is documented. Form 990, Part VI, Section B, Line 15b: The compensation for other officers is approved by the President. Comparability data is used, and the approval process is documented.

Form 990, Part VI, Section C, line 19

The governing documents, conflict of interest policy and financial statements are available upon request.

IRS990/Desc0Founded in 1939, and accredited by various regional and national agencies, Kuyper College is a leading Christian College focused on effectively training students to make a difference in God's world. And they are doing so with extraordinary results, as they use what they have learned at Kuyper to make an impact in the lives of others in more than 50 countries around the globe. At Kuyper, we put biblical faith first in the academic and community experience of our students through the integration of a high-quality academic curriculum and a Reformed worldview. (Continued on Schedule O)This provides them a well-rounded college experience and the ability to see, understand and live all of life through the lens of Scripture. We also equip our students to become leaders, training them to take responsibility for who they are, to accept where God has placed them, and with the skills He's given them, make a godly impact in the lives of others.
