Governance Explanations

Form 990, Part VI, Section A, Line 7A

Board members are nominated by the board governance committee. Officers are nominated by the executive committee. Both board members and officers are elected by the board.

Form 990, Part VI, Section A, Line 7B

Board members are approved by the bishop of the catholic diocese of lansing.

Form 990, Part VI, Section B, Line 11

Form 990 was prepared by the external auditor. The form was then reviewed by management and made available to board of directors.

Form 990, Part VI, Section B, Line 12C

There is an annual review and update by the members. Then, the information is reviewed by management and the board chair. When a board member knows they have a conflict of interest, they let the board chair and ceo know. Often the full board will know as well. The person is allowed to be in the room and to discuss the topic; however, when the vote is called, the person abstains from voting citing a conflict of interest. It is then so noted in the minutes.

Form 990, Part VI, Section B, Line 15

The compensation of the ceo is reviewed and approved by the board of directors and the bishop of the catholic diocese of lansing annually. All other key staffs' compensation is reviewed and approved by the ceo. The compensation rates are conducted by the hr department via comparisons with a market data survey. This was last conducted on 8/26/14.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy, and financial statements are made available to the public upon request.

Additional Explanations

Form 990, Part III, Line 2

The children's home, a comprehensive clinical assessment program, started on 4/15/2014. The program accommodates male and female clients ages 5 to 17 and is the only program of its kind in the state of michigan offering full battery psychological evaluation, psychiatric assessment, and medication management. A skilled and professional adolescent multi-disciplinary team conducts a thorough 30-day clinical assessment, identifying the source of the child's trauma and provides dhs and/or other referring agencies throughout the state of michigan with clear and concise recommendations for follow-up treatment.

Form 990, Part III, Line 3

The permanent housing for homeless with disabilities program ended 5/31/2014. The program provided rental assistance to homeless individuals and families with substance abuse or physical and/or mental health disabilities. Clients are provided with in-home case management services focused on assisting individuals with meeting goals in their individualized service plans toward increasing self-sufficiency. This program ended due to changes on funding requirements that required more funding to operate this program which st. Vincent catholic charities could not provide.

FORM 990, PART XII, LINE 2C:

This process is the same as last year.

Financial Statement Notes

PART V, LINE 4:

To support the general operations when needed.

PART X, LINE 2:

The organization is exempt from income tax under provisions of internal revenue code section 501(c)(3). The accounting standard that refers to accounting for uncertainty in income taxes addresses the determination of how tax benefits claimed or expected to be claimed on a tax return should be recorded on the financial statements. Organizations must recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. The standard also provides guidance on derecognition, classification, interest and penalties on income taxes, and accounting in interim periods, and requires increased disclosure. The evaluated potential exposure related to uncertain tax positions was found to be immaterial. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. With few exceptions, the organization is no longer subject to income tax examinations by tax authorities for years before 2011.
