“Michigan restaurant association (mra) has brokered a new partnership with the michigan state university school of hospitality business to enhance workforce development initiatives through, and in addition to prostart, dr. Jeffery elsworth, a longstanding faculty member of the school has expressed interest in joining the mra board of directors to help guide the new partnership. In addition, the board of directors may consider chartering a local or regioanl chapter of the michigan restaurant association. Approval of a chapter for a local or regional chapter requires the affirmative vote of two-thirds (2/3) of the michigan restaurant association board of directors elected and serving.”

“The finance committee meets, either as part of a full board meeting or separately every quarter, to review the financial statements. The 990 is received and reviewed for accuracy by the board of directors. In addition, the audit partner from the cpa firm presents the audit report annually to the board at a board meeting. Upon the board's approval of the 990, it is reviewed and signed by the chief staff executive and filed.”

“All staff and board members review and sign the mra conflict of interest statement form annually. These reports will be reviewed by the finance committee, which will attempt to resolve any actual or potential conflict(s) and in the absence of resolution refer the matter to the mra board of directors. If the board of directors has reasonable cause to believe that a covered individual has failed to disclose an actual or possible conflict of interest, it shall inform the covered individual of the basis for such belief and afford the covered individual an opportunity to explain the alleged failure to disclose. If, after hearing the response of the covered individual and after such further investigation as may be warranted in the circumstances, the board of directors determines that the member has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action, which may include grounds for removal or termination of the position of the covered individual, or the termination of any contractual relationship between mra and the covered individual.”

“The board of directors has a compensation committee that uses compensation studies and other market information to gather data on industry standards. After analyzing the data, the committee determines the compensation for the president/ceo. The compensation committee also gathers information on industry standards for all staff positions. However, the president/ceo determines the compensation amount for each staff member.”
