Mission

Total community options, inc. (tco) dba innovage, provides support and community outreach for a family of non-profit organizations that provide health care and support services to help elderly, frail and disabled individuals live with dignity in their homes and communities. Tco-supported organizations provide home health and support, health care and activities at adult day centers, integrated managed health care, transportation and caregiver support.

To sustain & enhance the quality of life for those we serve by operating a program of all-inclusive care for the elderly & by providing outreach/support to other InnovAge programs

Describe Process to Review 990

FORM 990, PART VI, LINE 11B The 990 is prepared by a third party preparer and an initial review is conducted by the Directors of Accounting and CFO of the organization. A secondary review is conducted by the audit committee and the final version of the 990 is made available to the entire board prior to filing the return with the IRS.

Describe How Conflict of Interest Policy Is Monitored & Enforced

FORM 990, PART VI, LINE 12C The compliance department maintains a master conflict of interest spreadsheet that is updated annually. The compliance officer routinely reviews the spreadsheet to monitor potential conflicts that have been identified. The compliance officer works closely with the board-appointed audit committee to monitor and address potential conflicts and to ensure the conflict of interest policy for board members is followed. Annual compliance education is provided to staff and board members. The compliance officer, in conjunction with HR, monitors potential conflicts that have been identified by key employees. At board meetings, the board asks its members if there are any conflicts of interest. If a conflict is identified, the board member is recused from voting and may not participate in the decision making process regarding the conflict.

Describe Process for Determining Compensation

form 990, Part VI, line 15a & 15b In 2014, INTEGRATED Healthcare Strategies, an external compensation consultant, conducted a full review of executive salaries. The study was based on comparability data based on organization mission, tax status, scope (budget, staff size), program offerings, locations, and talent pool for executive attraction/retention. Sources included independent compensation surveys, 990 data and SEC filings, and actual written offers. All elements of total compensation were considered in determining reasonableness. INTEGRATED Healthcare Strategies submitted salary recommendations that were submitted to the full Board of Directors for final approval.

Form 990, Part VI, line 19 Innovage makes its governing documents, financial statements, and conflict of interest policy available upon request.

Statement of Functional Expense

Form 990, Part IX, Line 5 Effective 01/01/2011, all Officer's compensation is being paid by Innovage. The amount reported on line 5 is all of the officer's compensation. However, officer's compensation is partially reimbursed through management fees and expense allocations charged to related entities.

Significant Changes in Program Services

FORM 990, PART III, LINE 3 The Single Entry Point program (SEP) operated by InnovAge Long Term Care Options ended 6/30/2013. Expenses related to winding down the program were recorded in Fiscal year 2014.

IRS990/Desc0Innovage operates a PACE program (program of all inclusive care for the elderly) providing adult day care, clinical services, home health, transportation, and other healthcare related services to frail elderly who are deemed nursing home eligible. In fiscal year 2014, Innovage served an average of 384 clients per month in the PACE program. InnovAge also provides support and community outreach to a family of non-profit organizations whose collective mission is to help elderly, frail, and disabled individuals live with dignity in their homes and communities.
