“The carle foundation has one (1) class of members. The number of members shall be as determined from time to time by the board of trustees. Each member shall be elected by the board of trustees for a term of three (3) years and shall hold office until his or her successor is duly elected and qualified or until his or her death, resignation or removal, whichever comes first.
