“The organization has the following classes of members: active members - any for-profit corporation, partnership, llc, or individual proprietorship actively providing a full range of association management services on a fee basis to more than one trade or professional association shall be eligible for membership in the association. Associate members - any corporation, partnership, llc, or individual proprietorship or other organizations engaged in a business which provides services to association management companies on a fee basis shall be eligible for associate membership in the association. Provisional members - any for-profit corporation, partnership, llc, or individual proprietorship actively providing a full range of association management services on a fee basis to one trade or professional association shall be eligible for membership in the association. Each active member firm in good standing shall be entitled to one vote on all matters presented to the membership of the association. Provisional members shall have no vote.”

“The board of directors establishes the policies governing the conduct of elections at the annual meeting. A majority of the voting members present and voting shall elect the number of directors as necessary to fill vacancies of directors whose terms expire.”

“From time to time, special meetings may be called by the members of the organization to review decisions made by the board of directors including approving amendments to the bylaws.”

“A final copy of the form 990 is provided to the board for review prior to its filing with the irs.”

“Members of the board are required to sign a document annually stating they have no conflicts of interest between them and any outside parties that would diminish their capacity to serve. If any conflicts arise, they are addressed by the board.”

“Any member of the general public may request to inspect copies of the governing documents, financial statements, conflict of interest policy and form 990 at the management's office.”
