Mission and Program Overview

Mission

The renaissance society is at its core a space of possibility. For artists, we offer an unfettered platform for bold experimentation. Our work with artists frequently results in newly commissioned art, and these presentations in our gallery at the university of chicago spur further scholarly and creative reflections in our publications and public programs. For visitors, we offer intimate opportunities to engage deeply with art and artists who provide critical responses to our present moment. All exhibitions and events are free to attend.

Governance Explanations

Form 990, Part VI, Section A, Line 6

Any person or entity upon payment of such contributions as are established by the board of directors from time to time may become a member of the society. The membership categories and corresponding contribution requirements of the society shall be determined from time to time by the board of directors. Members of the society as such shall have no voting rights.

Form 990, Part VI, Section B, Line 11B

The organization's policy is for the executive director, audit committee, and board of directors to review and approve the form 990 prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

There exists between the society and its board, officers, and management personnel a fiduciary duty that carries with it a broad and unbending duty of loyalty and fidelity. The board, officers, and management personnel have the responsibility of administering the affairs of the society honestly and prudently, and of exercising their best care, skill, and judgment for the sole benefit of the society. Those persons shall exercise the utmost good faith in all transactions involved in their duties, and they shall not use their positions with the society or knowledge gained there from for their personal benefit. The interests of the organization must have the first priority in all decisions and actions. It shall be the continuing responsibility of the board, officers, and management personnel to scrutinize their transactions and outside business interests and relationships for potential conflicts and to immediately make such disclosures. Prior to a vote on a potential conflict of interest, all material facts must be disclosed to the board and reflected in the minutes. A person with a potential conflict of interest shall not participate in or be permitted to hear the board's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside of the meeting. A director having a potential conflict of interest may not vote on the matter and shall not be present in the meeting room when the vote is taken. The board shall determine whether a conflict exists and is material, and in the presence of a material conflict, whether the contemplated transaction may be authorized as just, fair, reasonable and in the best interest of the society. The decision of the board on these matters will rest in its sole discretion, and its concern must be the welfare of the society and the advancement of its purpose.

The organization uses salary surveys to benchmark compensation of each position. Industry specific reports and other studies, in addition to input from other informed sources, are utilized. Compensation adjustments are approved by the executive committee of the board of directors prior to final budget approval.
