Ptda has members in 4 categories: distributor members, manufacturer members, associate members and honorary life members. Only ptda distributor members have voting rights.

The distributor members elect the officers and directors at large of the ptda board of directors at the annual meeting of the association. The timing, procedures and process of elections are dictated by the bylaws of the association.

Per the bylaws of the association, decisions of the board of directors that would require any change to the language of the bylaws of ptda must be approved by the voting membership of the association.

The ptda treasurer reviews and signs the tax returns. The ptda executive vice president also reviews the returns prior to providing them to the treasurer for signature.

Through both its nominating process to ensure candidates for the board do not have business relationships that would provide an opportunity for conflict. Through a policy of not utilizing any member in a vendor relationship. Through annual receipt of a signed conflict of interest statement from each member of the board of directors declaring there are no conflicts. Through reminders at each board meeting to declare any conflicts of interest.

Form 990, Part VI, Section B, Line 15

A performance review for the executive vice president is held each year by the current ptda president after consultation with the first vp and manufacturing council chair. The result of the annual national compensation study of the american society of association executives or similar benchmark tools as approved by the board of directors, is utilized along with performance evaluation to determine adjustments to the compensation package for the executive vp for the coming fiscal year. The executive vp conducts performance reviews for other key employees including the senior director of membership, senior director of project management and director of marketing. The results of the association compensation and benefits survey, conducted by the association forum of chicagoland, is utilized as a benchmark tool along with the performance evaluation to determine adjustments to the compensation package for these key employees. Compensation for key employees of ptda is based on straight salary. No bonus or incentive payments are made to key employees.
