Governance Explanations

Form 990, Part VI, Section A, Line 6

Active members are voting members of the organization. Associate and student members shall not be entitled to vote on any matter subject to active membership vote nor hold office.

Form 990, Part VI, Section A, Line 7A

Active members are provided a slate of board nominees selected by the leadership committee. After reviewing the slate, such voting members may nominate an additional candidate for a position. If 10% of the voting members sign a petition in support of this candidate, then the person will be added to the slate and a vote of the members will be taken on the nominees. If no additional candidates are put forward then the board of directors will vote on acceptance of the slate.

Vp of finance & operations, and the president and ceo are authorized to review and approve the tax return before filing.

Board members receive the conflict of interest policy and are asked to sign it annually. Also, at the beginning of board meetings members are asked if they have any conflicts of interest.

Form 990, Part VI, Section B, Line 15

Near the end of the president and ceo's contract term the executive committee meets to evaluate the terms of the new contract and uses comparable salary benchmarks when preparing the new contract. After the executive committee approves the contract it is approved by the full board. The president and chief executive officer determines the salary of the other employees after benchmarking all employee job titles to salary surveys.
