“The executive committee shall consist of the chairperson, vice chairperson, secretary and treasurer of the corporation and the chairperson of such standing committees of the board as the board may from time to time designate as being additional members of the executive committee. Except as to such powers as the board may expressly reserve to itself by formal resolution, the executive committee shall exercise the powers of the board of directors when the board is not in session in accordance with and as limited by the policies and budgets established by the entire board. The executive committee's actions shall be reported to the board of directors at the next regular or special meeting of the board.”

The compensation and benefits are determined annually to be commensurate with the performance evaluation by board chair, vice chair and secretary then recommended to the executive committee, which in turn will recommend the executive compensation to the full board for approval. The process also utilizes market-rate and performance based comparative data to help determine a reasonable compensation package. The executive compensation and benefits are then discussed with the organization's auditors to ensure reasonableness.”
