We focus investors and companies on taking urgent action to build a truly sustainable economy by measuring and understanding their environmental impact. To that end, cdp pioneered the only global system for companies to disclose and manage their environmental performance. Cdp-na is part of the not-for-profit charity network cdp worldwide which tracks how companies and cities measure, disclose, manage and act upon vital environmental information.

Governance Explanations

Form 990, Part VI, Section A, Line 3

Beginning in 2014, the organization began using adp totalsource, a professional employer organization ("peo"). As a professional employer organization, totalsource provides professional employer services to cdp north america, inc. (cdp-na). In the peo relationship totalsource and cdp-na share certain responsibilities and allocate other employer responsibilities between each other. Cdp-na remains an employer of the worksite employees and totalsource is a co-employer of cdp-na's employees. Totalsource reserves the right of direction and control over employees as is necessary to fulfill its obligations and provide its services under an agreement between cdp-na and totalsource. Totalsource and cdp-na have a right to hire, discipline, and terminate employees as to each one's employment relationship with employees.

Form 990, Part VI, Section A, Line 4

The legal name of the organization was changed to cdp north america, inc. To align with the rebranding of the cdp-ww organization internationally. In addition, the amended by-laws were adopted by the board of directors in december 2015. Changes made to the amended by-laws, included the following principal revisions, in addition to other smaller changes: 1) section 4.2 - directors' term: the directors will now be elected to serve for a term of one year, as opposed to a two-year term. 2) section 4.7 - resignation and removal of directors: directors may be removed from office with or without cause by a majority vote. Previously, a director could only be removed for cause and only by a two-thirds vote.

There are currently no committees that made up of the board members. The current board oversees all areas of the organization.

The organization has its form 990 prepared by an outside accounting firm and is then reviewed by management prior to distribution to all board members (by hard copy or electronically) for their review. Once, the form 990 is approved by the board, the return is then filed with the irs.

Form 990, Part VI, Section B, Line 12C

Cdp north america, inc. (cdp-na) has a written conflict of interest policy, which is monitored and enforced annually. All board members are required to disclose any conflict of interest that may exist with the organization on an annual basis. Any disclosures made on the form are discussed as part of the governance and business agenda at the following regular meeting of the board. The board reviews each circumstance and makes a determination as to whether a potential conflict exists, whether actual conflicts can be fully and satisfactorily addressed, or whether other action is required. Outside legal counsel may be consulted as part of the determination process, as necessary. Board members are required to inform the board chair of cdp-na of any material changes that develop during the year regarding the circumstances or adjustments to information disclosed in the conflict of interest disclosure statement. If a board member has a conflict of interest, they would be excused from participating in the vote of that particular conflict.

Form 990, Part VI, Section B, Line 15A

Salaries paid to employees of the organization are determined using data drawn from the irs form 990 of comparable organizations, from other salary surveys, and from benchmarking data. Current salaries and benefits are based on a global benchmarking project performed by cdp worldwide and are adjusted annually for inflation, and/or for competitive salary considerations as additional information may become available. The cdp-na board of directors approves and reviews annually the compensation of the president and evaluates his performance. Compensation overall is based on a combination of factors, including the employee's level of responsibility and his/her performance in the role, the rate of inflation, and the nonprofit labor market for organizations comparable to cdp-na and which may overlap regarding the type of talent and skills they require of staff to deliver their work and to achieve their mission. This process was last undertaken during fy16 and the records of the compensation decisions are maintained in the organization's personnel file. Cdp-na's president is responsible for assessing the performance of senior officers, and for their annual reviews that affect their compensation.

PART III, LINE 1, CDP'S MISSION

Cdp's mission is to catalyze the transition to a global economic system that operates within sustainable environmental boundaries and prevents dangerous climate change. To that end, cdp created the only global system for companies and subnational governments to disclose their environmental performance, and maintains the world's largest collection of corporate and municipal climate change, energy, water, and forest data. Cdp north america, inc. ("cdp-na") is a 501(c)3 organization and the north american arm of cdp ("cdp"), a global not-for-profit charity network formerly known as the carbon disclosure project. By 2020, cdp will help ensure that high-impact companies, investors, governments, cities, states and regions have developed transition plans, set bold targets, and made sufficient progress to: 1. Reduce emissions and avoid nonsustainable deforestation in line with a 2 degree celsius global warming pathway; 2. Improve water security and build resilience to increased severe weather events; and, 3. Shift capital to finance this transition.

Over 5,600 companies disclosed to cdp in 2015 across our program areas, accounting for more than 17% of global ghg emissions and representing 55% of the financial stocks traded around the world. More than 300 cities in 57 countries disclose through the cdp cities program to communicate climate and water data, including 70 cities located in north america. In recent years, clear signals from financial markets, corporate partners, and the international political climate have motivated cdp to establish a new global initiatives program with the goal of advocating the development of bold solutions to the most pressing global environmental challenges. Cdp's global initiatives leverage our engagement with companies and cities to motivate ambitious commitments and action on topics like carbon pricing, deforestation, renewable energy, and science-based targets. Disclosure & global initiatives - program achievements the growing participation of investors, companies, and cities in cdp disclosure demonstrates the link between environmental stewardship and economic stability, as our stakeholders benefit from access to a wealth of data, facilitating the inclusion of environmental criteria in major business and policy decisions. Disclosing companies and cities benefit from participation in cdp, as our streamlined platform allows organizations to communicate impacts and management strategies to diverse stakeholder groups, while benchmarking themselves against peers and sustainability leaders. The growth of our platform reflects and amplifies these benefits. In 2015, 70% of companies in the s&p 500 disclosed climate change information via cdp. Of the total investor requested companies in 2015, 636 of them reported through cdp-na. A total of 39 new companies in north america disclosed to cdp for the first time in 2015, while 27 companies expanded their reporting to disclose on water and 15 began disclosing forests information. Similarly, increases in the number of investor signatories, who request that companies disclose to cdp, highlight the value of the data collected. Currently, 827 investor signatories representing more than us $100 trillion in assets are signatories to cdp's climate change program, with 643 investors representing us $67 trillion in assets have signed onto the water request, and 365 investor signatories with us $22 trillion in assets for forests, which represents a 7% increase in climate signatories, an 8% increase in water signatories, and a 24% increase in forests signatories from last year. Investor signatories and partners are also operationalizing cdp data in new ways. In 2015, america's third largest pension fund, the new york state common retirement fund, created a $2 billion carbon-efficient index-based fund, designed by goldman sachs and utilizing cdp data. The cdp-na cities program also expanded its influence through new partnerships, reports, and initiatives, helping to launch the green muni bonds playbook to assist municipalities with green bond opportunities as part of the us green city bonds coalition, publishing a white paper on the "barriers to private sector investments in urban climate mitigation projects, and launching the city energy project to improve the energy efficiency of buildings in ten major us cities with the natural resources defense council and the institute for market transformation. Ahead of the paris climate summit (cop21) in december 2015, cdp and its partners in the we mean business (wmb) coalition obtained 690 commitments from 370 companies to cut emissions, switch to renewables, put a price on carbon, and otherwise drive decisive climate action. In north america, 71 companies made 103 of these commitments. Cdp also released its third annual carbon pricing report, which included exclusive insights that were featured on the front page of the new york times, while cdp and wmb developed the carbon pricing pathways toolkit, showing how carbon pricing levels could be raised over time to lower

Cdp's investor initiatives membership program has significantly expanded its influence with institutional investors that recognize climate change and natural capital as critical and material investment concerns, ensuring the effective use of data collection to change market behavior and allowing them to better engage with companies in which they invest, to drive sustainable practices. Cdp's reporter services membership program assists more than 130 global companies to improve their disclosures on climate change and water. Through tailored support from a cdp account manager, member companies receive insight on how best to disclose through cdp, learn sector and industry best practices, and network with leaders in corporate sustainability strategy. Cdp's reporter services membership offers full access to cdp's data, exclusive presentations, and reports. Cdp's supply chain membership program serves large purchasing entities by asking their suppliers to measure and manage climate and water impacts, lower risks, seize opportunities, and improve their resiliency to a changing climate. By embedding sustainability criteria into purchasing practices and collaborating with strategic suppliers, members of cdp's supply chain program are leveraging the power of disclosure to encourage suppliers to reduce emissions, waste, cost, and uncertainty. Membership programs - program achievements the investor membership program at cdp-na expanded significantly in 2015 with the addition of seven new members, including asset owners like the new york state common retirement fund, the maine public employees retirement system, tiaa-cref, and the university of california endowment fund. Cdp-na currently oversees 75 reporter services memberships, which is a three-fold increase over the past four years. The quality of disclosure and environmental performance of these companies improves significantly with tailored support, enhanced data access, insights from industry experts, and member-only webinars on topics like science-based targets. In 2015, 34 of the 521 investor-requested north american cdp responders were awarded the a-list designation for their management of issues related to climate change; over half (19 of 34) were reporter services members. Cdp's supply chain program currently serves 89 organizations with $2.7 trillion in aggregate purchasing power, including the us general services administration (gsa), the us department of the navy, hewlett packard enterprises, and wal-mart. Over 4,000 suppliers from 82 countries disclosed to customers (sc members) through cdp in 2015, including almost 1,000 small and medium-sized enterprises and hundreds of suppliers from emerging economies. These suppliers collectively reported emissions reductions of 606 million metric tons, saving them $6.6 billion for an average of $1.3 million per project.

Through its events program, cdp is uniquely positioned to bring together these stakeholder groups to learn how they are approaching climate challenges and how they can work together to seize-climate related opportunities. Cdp partnerships focus on building a strong network of external stakeholders to motivate more comprehensive environmental disclosures and drive real emissions reductions, by supporting responding entities with data collection, sustainability strategy recommendations, renewable energy procurement, and much more. Cdp's partners range from accredited service providers that work with companies to streamline reporting, verify emissions, and achieve sustainability goals, to large companies that are integrating climate strategy into their core business and wish to support our work across program areas. Partnerships and events - program achievements cdp-na organizes four annual events - our us and canadian spring workshops and our us and canadian fall report launches. These events are annual opporunities to convene experts and practitioners to discuss how organizations can best use cdp's resources to help them reduce their environmental impacts and create long term value in their business through sustainable operations. Cdp-na's spring workshops took place six months prior to the cop 21 climate negotiations and emphasized the need for companies to take action on the "road to paris" by making bold climate-related commitments and putting private-sector leadership on display for the policymakers. At the 2015 us fall launch event, cdp-na released our award-winning cdp climate change report 2015: "the mainstreaming of low-carbon on wall street." the report explained how the creation of carbon-efficient funds, supported by cdp data, is informing companies that their continued inclusion in growing index-based funds depends on their environmental as well as financial performance.thering in paris.

Cdp-na recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that cdp-na has no uncertain tax positions as of march 31, 2016 and 2015 that would require financial statement recognition or disclosure.
