Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has it form 990 prepared by an outside accounting firm and is then reviewed by the managing director and director of finance prior to distribution to all board members for their review. Once the form 990 is approved by the board, the return is then filed with the irs.

Form 990, Part VI, Section B, Line 12C

Cdp north america, inc. Has a written conflict of interest policy, which is monitored and enforced annually. All directors and principal officers are required to disclose any conflict of interest that may exist with the organization on an annual basis. Any disclosures made are discussed as part of the governance and business agenda at the regular meeting of the board. The board reviews each circumstance and decides as to whether a potential conflict exists, whether actual conflicts can be fully and satisfactorily addressed, or whether other action is required. Outside legal counsel is consulted as part of the determination process, as necessary. All directors and principal officers are required to inform the board chair of any material changes that develop during the year regarding the circumstances or adjustments to information disclosed in the conflict of interest disclosure statement. If an individual has a conflict of interest, they are excused from participating in the vote regarding the conflict.

Form 990, Part VI, Section B, Line 15

The board of director determines and approves the compensation of the managing director of the organization. Compensation paid to the managing director is determined based on a variety of factors; performance in the role, the rate of inflation, and comparability data including form 990s of other organizations, salary surveys, and other benchmarking data of organizations comparable to cdp-na and other organizations which have positions with similar talent and skills required to deliver their work and achieve their mission. This process was last undertaken in fy2025. The decisions were contemporaneously documented. The managing director recommends the compensation of the other officer and key employees during the annual salary reviews process which is subject to the board of director's approval. Compensation is determined based on a variety of factors; performance in the role, the rate of inflation, and comparability data including form 990s of other organizations, salary surveys, and other benchmarking data of organizations comparable to cdp-na and other organizations which have positions with similar talent and skills required to deliver their work and achieve their mission. The organization contracted with a professional employer organization (peo) for services, including but not limited to, payroll, timekeeping, employee benefits, hr administration and workforce regulatory compliance needs. As the employer of record for tax purposes, forms w-2 and w-3 are issued by the peo and filed under the peo's federal ein. In this co-employment arrangement, the organization is the common law employer and, accordingly, compensation is reported on form 990, part vii, section a and part ix, lines 5-10.

Subgrant refunds due to underspend 558,000.

FORM 990, PART XII, LINE 2C:

The organization has an audit committee which is responsible for oversight of the audit and selection of the independent accountant. The process has changed from the prior year.

Financial Statement Notes

PART X, LINE 2:

Cdp-na recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that cdp-na has no uncertain tax positions as of march 31, 2025 that would require financial statement recognition or disclosure. Cdp-na is no longer subject to examinations by applicable taxing jurisdictions for periods prior to march 31, 2022.
