Mission

The fire family foundation's mission is to provide support and financial assistance to firefighters and their families in need.

The fire family foundation's mission is to provide support and financial assistance to firefighters and their families in times of need.the foundation believes that by coming together as a "fire family," we can provide meaningful support to our firefighters and their families. The drive to create this foundation emanated from the dark days of 9-11 when we lost over 300 new york city firefighters, along with the loss of a number of la city firefighters over the years, as they valiantly attempted to save lives and property. The impact of 9-11 and the loss of these courageous heros profoundly impacted their families, the rest of the firefighter community and the broader community-at-large.the fire family foundation is a nonprofit organization that was founded and is supported by the respected firefighters first federal credit union, a tax exempt nonprofit financial institution exclusively serving firefighters and their families nationwide.

Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents

Fire Family Foundation's Articles of Incorporation were amended during 2018 to make clarifying tweaks to FFFs purposes, but its purposes were not materially changed. Fire Family Foundation's Bylaws were amended during 2018 to: (1) eliminate the requirement to have a Nominating Committee and an Executive Committee; (2) expand and clarify the duties of the Executive Director; (3) eliminate the requirement to have a Vice Chair; (4) reduce the permitted range of the size of the Board of Directors, from not less than 6 to not more than 15 Directors, to not less than 5 to not more than 7 Directors; (5) have the Chief Executive Officer of the Firefighters First Credit Union serve, on an ex officio basis, as a member of the Board of Directors and as the Chair; (6) provide for an advisory committee known as the Council for dedicated individuals to support the Fire Family Foundation's mission; (7) to establish that an interested party transactions in which a Director or Officer has a material financial interest may be entered into only to the extent permitted by applicable law and consistent with the Conflict of Interest Policy; (8) provide for the election of Directors by majority vote of the Directors present at a duly convened meeting, rather than by majority vote of all of the Directors then in office; and (9) to make other minor clarifying changes.

Form 990, Part VI, Line 11B: Form 990 Review Process

The Foundation's Form 990 is prepared by the Foundation's external certified professional accounting firm based on information provided by the Foundation, and in consultation with the Foundation's staff and Board Chair and Treasurer. Firefighters First Credit Union donates staff time and accounting support to the Foundation (in addition to other support) to assist in this process, in support of the Foundation's charitable mission. The Foundation's 990 is also reviewed by outside legal counsel. The draft Form 990 is reviewed with the Foundation's Board at a Board meeting and a complete copy of the final Form 990 is distributed to the full Board prior to filing with the IRS.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Fire Family Foundation's Board of Directors has adopted a Conflict of Interest Policy covering its Directors, Officers and Managers. The Policy requires disclosure of all material facts relating to an actual or potential conflict of interest, and requires submission of an annual disclosure form as well as disclosure of any such conflicts that arise during the year. The Policy requires that determinations of whether a conflict exists and whether to approve a transaction or matter involving a conflict of interest be addressed by the Board or a committee thereof. The Policy provides that the individual having the conflict of interest may address the Board or Committee at which point such transaction is being considered, but subsequently must leave the meeting prior to the discussion and the vote.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

The compensation of the Foundation's Executive Director was determined through a process designed to ensure that the compensation was reasonable, and was based on external benchmarks and comparability data. Line 15b is answered "no" because the Foundation did not have any paid officers or key employees during 2018 other than its Executive Director.
