Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents

The Foundation amended its Bylaws at its December, 2014 meeting to move its Fiscal Year End to June 30th, beginning with the period ending June 30, 2015.

Form 990, Part VI, Line 11B: Form 990 Review Process

The Form 990 is prepared by the Treasurer and reviewed by the Foundation's Vice President (also a director) and Associate Vice President, as well as the UAB Associate VP for Financial Affairs. The 990 is also distributed to the the Board of Directors prior to filing.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The organizations conflict of interest policy covers all officers, directors, or committee members. All covered persons have duty to disclose any actual or possible conflicts, and the full board (minus the interested person) discuss and vote on the transaction giving rise to the potential conflict. In addition to the duty to voluntarily disclose any conflicts, directors and officers are asked annually as part of the Form 990 preparation process to disclose any family or business relationships with other officers, board members or highly compensated independent contractors.

Part V, Line 4: Intended uses of the endowment fund.

The endowment was established at the San Diego Foundation by Mr. Philip J. Boyer following his death in 1996. Mr. Boyer placed no restrictions on the annual distribution from the endowment, which is used in support of the UAB Diabetes Trust Foundation's general charitable mission.
