Power Wellness Management, LLC (PWM) handles the day to day management of the fitness center. PWM provides and pays the staff (which is reimbursed by St. George Wellness Center) and purchases all of the supplies, etc. PWM also handles all of the accounting functions on site. St. George Wellness Center in turn pays PWM a management fee for these services in addition to paying PWM for its direct costs.

On an annual basis key personnel (VP, department heads (budget administrators)) and all purchasing staff must complete a Conflict of Interest Form disclosing any conflict of interest that may exist or be perceived to exist between themselves and/or family members and vendors, contractors and others with which St. George Wellness has a contract/transaction agreement. These annual disclosure statements are reviewed by the VP of Human Resources of Palos Community Hospital. Any issue identified as part of this annual disclosure is referred to the President of St. George Wellness for disposition.

Officers are compensated through a related entity, Palos Community Hospital. Annually, Human Resources gather market data on executive positions from a variety of published survey sources such as Metropolitan Healthcare Council (MCHC), Mercer, Watson Wyatt, etc. The market data is analyzed for organizations of our size and characteristics (FTE's, revenue, beds, region, non-for profit, stand alone institutions, etc.) The mean, median and, if available, the 90th percentile rates are provided to the President/CEO for consideration and reviewed with the Board of Directors. Discussion and process are contemporanously documented in the minutes.

Part X, Line 2:

St. George Wellness Center has received a determination letter from the Internal Revenue Service stating that it is exempt from the payment of income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, income taxes are not provided for in the accompanying consolidated financial statements. St. George Wellness Center files a Form 990 (Return of Organization Exempt from Income Tax) annually. When this return is filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the position taken or the amount of the position that would ultimately be sustained. Examples of tax positions common to health systems include such matters as the following: the tax exempt status of each entity, the continued tax exempt status of bonds issued by the obligated group, the nature, characterization and taxability of joint venture income and various positions relative to potential sources of unrelated business taxable income (UBTI). UBTI is reported on Form 990-T, as appropriate. The benefit of a tax position is recognized in the consolidated financial statements in the period during which, based on all available evidence, management believes that it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions are not offset or aggregated with other positions. Tax positions that meet the "more likely than not" recognition threshold are measured as the largest amount of tax benefit that is more than 50 percent likely to be realized on settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for unrecognized tax benefits in the accompanying consolidated balance sheets along with any associated interest and penalties that would be payable to the taxing authorities upon examination. Upon the adoption of the FASB issued guidance at January 1, 2007, and since that date through December 31, 2013, there were no unrecognized tax benefits identified and recorded as a liability. Forms 990 and 990-T filed by St. George Wellness Center are subject to examination by the Internal Revenue Service (IRS) up to three years from the extended due date of each return. Forms 990 and 990-T filed by St. George Wellness Center are no longer subject to examination for the years 2009 and prior.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0St. George Wellness Center has received a determination letter from the Internal Revenue Service stating that it is exempt from the payment of income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, income taxes are not provided for in the accompanying consolidated financial statements. St. George Wellness Center files a Form 990 (Return of Organization Exempt from Income Tax) annually. When this return is filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the position taken or the amount of the position that would ultimately be sustained. Examples of tax positions common to health systems include such matters as the following: the tax exempt status of each entity, the continued tax exempt status of bonds issued by the obligated group, the nature, characterization and taxability of joint venture income and various positions relative to potential sources of unrelated business taxable income (UBTI). UBTI is reported on Form 990-T, as appropriate. The benefit of a tax position is recognized in the consolidated financial statements in the period during which, based on all available evidence, management believes that it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions are not offset or aggregated with other positions. Tax positions that meet the "more likely than not" recognition threshold are measured as the largest amount of tax benefit that is more than 50 percent likely to be realized on settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for unrecognized tax benefits in the accompanying consolidated balance sheets along with any associated interest and penalties that would be payable to the taxing authorities upon examination. Upon the adoption of the FASB issued guidance at January 1, 2007, and since that date through December 31, 2013, there were no unrecognized tax benefits identified and recorded as a liability. Forms 990 and 990-T filed by St. George Wellness Center are subject to examination by the Internal Revenue Service (IRS) up to three years from the extended due date of each return. Forms 990 and 990-T filed by St. George Wellness Center are no longer subject to examination for the years 2009 and prior.
