Governance Explanations

Form 990, Part VI, Section B, Line 11B

The chief operation officer receives an electronic copy of the final version of the current year form 990 from the outside tax preparer and distributes it to all officers and directors for review. Any questions raised during the review process and are discussed and resolved with the preparers prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization reviews its conflict of interest policy regularly and updates it if deemed necessary. All newly elected officers and directors, and hired key employees receive a copy of the policy. The organization distributes an annual conflict of interest disclosure form to all of its officers, directors and key employees who are required to disclose all conflicts that exist. If a conflict arises, the board of directors takes appropriate action as set forth in the conflict of interest policy.

Form 990, Part VI, Section B, Line 15

The organization follows an executive compensation policy for determining compensation of the executive director and other key employees. The organization's executive committee is authorized to make all such decisions under the enacted policy. The executive committee, to the extent available, relies upon appropriate data as to comparability prior to making its recommendation, and contemporaneously places such data and other reasons for its recommendation in the minutes. If the executive committee does not have data as to comparability, it shall document any other basis for determining that the proposed compensation is reasonable. Such determination is performed on an annual basis.

STARTING IN 2008, THE AMERICAN BOARD OF THORACIC SURGERY CHANGED ITS RECERTIFICATION PROGRAM INTO A MAINTENANCE OF CERTIFICATION PROCESS (MOC) PROCESS THAT REQUIRED THE DIPLOMATES DEMONSTRATE EVERY FIVE YEARS THAT THEY MEET STANDARDS IN PROFESSIONALISM, LIFE-LONG LEARNING AND SELF-ASSESSMENT, COGNITIVE EXPERTISE AND PERFORMANCE IN PRACTICE. IN 2024, THE PROCESS OF CONTINUING CERTIFICATION REPLACED MOC, AND DIPLOMATES MUST CONTINUE TO DEMONSTRATE THE ABOVE MENTIONED STANDARDS EVERY FIVE YEARS TO MAINTAIN CERTIFICATION.
IRS990/ProgSrvcAccomActy3Grp/Desc0CONGENITAL CARDIAC SURGERY SUBSPECIALTY CERTIFICATION - SINCE 2009, THE AMERICAN BOARD OF THORACIC SURGERY HAS OFFERED A SUBSPECIALTY CERTIFICATE IN CONGENITAL CARDIAC SURGERY. TO BE ELIGIBLE FOR THIS CERTIFICATE, DIPLOMATES MUST EITHER COMPLETE A CONGENITAL CARDIAC FELLOWSHIP OR PROVIDE DOCUMENTATION ON THEIR TRAINING, CURRENT CLINICAL EXPERIENCE AND PROFESSIONAL ACCOMPLISHMENT IN THE FIELD OF CONGENITAL CARDIAC SURGERY. TO DATE, THE AMERICAN BOARD OF THORACIC SURGERY HAS ISSUED OVER 270 CERTIFICATES IN CONGENITAL CARDIAC SURGERY.
