ON THE DATE OF SALE THE FOLLOWING ACTIONS TOOK PLACE: HOLIDAY PARK LLC SELLS THE LAND FOR $518,279 TO BURTON FOUNDATION, BURTON FOUNDATION TAKES TITLE TO THE LAND AND IMMEDIATELY SELLS THE LAND FOR THE SAME PRICE TO TPA FOX LAKE LP, LLC WHO ISSUES A CHECK TO THE FOUNDATION WHICH IT IMMEDIATELY USES TO PAY HOLIDAY PARK LLC. AT THE POINT OF SALE TWO DEEDS WERE RECORDED TO SHOW THIS TRANSACTION. ONE FROM HOLIDAY PARK LLC TO THE BURTON FOUNDATION AND ONE FROM THE BURTON FOUNDATION TO TPA FOX LAKE LP, LLC. THE FOUNDATION WAS REQUIRED TO TAKE TITLE WAS AS A CONDITION OF GENERATING THE TAX CREDIT AND WAS REQUIRED BY THE ILLINOIS HOUSING DEVELOPMENT AUTHORITY, AS THE LAND WAS TO BE USED TO DEVELOP LOW INCOME HOUSING. THE RESULTING $511,761 TAX CREDIT ISSUED TO THE FOUNDATION WAS LASTER SOLD TO KHOL'S INC. FOR $450,584. AN APPROXIMATE 10% FEE RESULTED DURING THE SALE IN THE AMOUNT OF $46,048 WHICH RESULTED IN A CASH AMOUNT OF $404,536. THE FULL AMOUNT WAS THEN USED AS A CAPITAL CONTRIBUTION BY THE FOUNDATION TO BUY A 1% INTEREST IN TPA FOX LAKE GP, LLC., PLEASE NOTE THAT THIS IS NOT TPA FOX LAKE LP, LLC THE PURCHASER OF THE LAND.
