The Executive Committee is composed of the Executive Director, President, Vice President, Secretary and Treasurer. The role of the Executive Committee is to provide oversight and assistance to the Executive Director and act with the delegated authority of the board in pressing matters in-between meetings.

Form 990, Part VI, Section B, line 11

Breakthrough's Form 990 is prepared by an independent certified public accounting firm. The Form 990 is reviewed and approved by Chief Administrative Officer as well as the Finance/Audit Committee before it is filed. A copy of the Form 990 is also provided to the Board of Directors for review and comment prior to filing.

Form 990, Part VI, Section B, line 12C

Officers are required to sign the conflict of interest policy annually and the Finance and Executive teams regularly monitor transactions for potential conflicts of interest. Board members also sign the conflict of interest policy annually, and the Executive Committee monitors. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any decision with regard to matters affected by the relationship.

Form 990, Part VI, Section B, line 15

Raises and compensation levels are approved by the independent Board of Directors as part of the budgeting process. Compensation for officers is reviewed by the independent Executive Committee of the Board of Directors. In March 2014 a compensation review of comparable positions of other similarly sized human services agencies in metro Chicago was conducted by the HR Committee Chairperson. The results were used by the Executive Committee in guiding compensation rates for 2015 for officers and supporting a 5% across the board rate increase for staff. The deliberation and approval process is documented in the Committee minutes.

Financial Statement Notes

Part X, Line 2:

The financial statement effects of a tax position taken or expected to be taken are recognized in the financial statements when it is more likely than not, based on the technical merits, that the position will be sustained upon examination. Interest and penalties, if any, are included in expenses in the statements of activities. As of June 30, 2015 and 2014, Breakthrough had no uncertain tax positions that qualify for recognition or disclosure in the financial statements. Breakthrough files information tax returns and is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes Breakthrough is no longer subject to examinations for years prior to 2011.
