“The organization's bylaws were materially revised during the fiscal year to include a revision in the number of directors at any one time from the range 4-25 changed to the range 18-23; a modification to stagger terms of elected directors to approximately one-third to be newly elected each year; a revision to elect directors for two year terms changed to directors to be elected to 3 year terms with the caveat of a term limitation of three consecutive three year terms per director; and an exception to establish a special category for founding members loretta lattyak, mary driscoll and ellen mason to not be subject to the aforesaid consecutive term limitations.”

“Board members agree that a financial relationship may exist with regard to compensated employees and contractors. Accordingly, they agree to abide by a conflict of interest document obligating them to inform the board when a potential conflict can occur and agree to recuse themselves from meeting and voting where such issues are discussed. Should violations occur, the board shall take appropriate actions to either terminate the services of the employee of contractor; terminate the individual from the board of directors; and/or take other corrective action to indemnify the organization and prevent its recurrence.
