Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee may act in place and stead of the board of directors between board meetings on all matters. Actions of the executive committee are reported to the board for ratification. The executive committee is comprised of the chair of the board as chair of the committee, teh vice chair, the president, the secretary, the treasurer, the immediate past chair of the board, ate least three directors representing the city of minneapolis, as well as other persons approinted by the chair and approved by the board of directors.

Form 990, Part VI, Section A, Line 6

Any reputable person, firm, governmental body, association, business, organization, partnership or estate who, in the judgment of the board of directors, furthers the purposes or objectives of the association, may subscribe to membership in the association. Directors of the association appointed by the city of minneapolis shall be members solely by reason of their appointment and as such shall have the same voting privileges conferred on other members.

The 990 is prepared and reviewed by staff with the assistance of the organization's financial audit firm. The 990 is presented to officers and audit/finance committee and approved by the board of directors prior to submittal.

Form 990, Part VI, Section B, Line 12C

Each member of the board of directors is required to annually complete a new acknowledgement copy of the conflict of interest policy. The policy states that each board member is responsible to report any actual or potential conflicts of interest to the chair, or to any officer as soon as they become aware of the conflict. Any actual or suspected conflicts of interest detected by staff are to be reported to senior management, or directly to an officer of the board.

The compensation for the president & ceo is reviewed and determined by a compensation committee. The compensation committee considers factors such as internal equivalent positions, competitive marketplace, and industry norms to establish compensation. The most current compensation survey results from the destination marketing association international are used as a guide to validate ceo compensation. This process was most recently undertaken in 2024 for the president/ceo, m. Tennant. The compensation for other officers and key employees is reviewed and determined by the management team. Unless there is a promotion or some other unusual agreement in place, staff is limited to an average 3% merit pay increase through the annual performance review process. In the recruitment and staffing of any key employees, the management team utilizes the resources available to the human resources area to determine the usual and customary compensation for similar positions within our industry and within our competitive markets. Salary surveys from professional organizations, job bulletin boards, and industry associations are all utilized to determine typical, competitive salary and compensation components. The strategy is to be able to successfully attract and retain the talent needed to accomplish organizational goals, without ever being at the top of the pay scale. This process was last completed in 2024.

Financial Statement Notes

PART X, LINE 2:

The association is designated as a non-profit association and is exempt from income taxes under section 501(c)(6) of the internal revenue code and minnesota statute. The association is subject to tax on its unrelated business income which includes advertising and other services. The association follows guidance regarding the recognition of uncertain tax positions. This guidance prescribes a recognition threshold for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized.

IN 2024, 528,034 ROOM NIGHTS WERE BOOKED IN THE CITY, $21.4 MILLION IN REVENUE WAS GENERATED FOR THE CONVENTION CENTER (A 16% INCREASE FROM THE PRIOR YEAR) INCLUDING 199 EVENTS BRINGING IN 719,756 ATTENDEES. ALSO IN 2024, 7.4 BILLION MEDIA IMPRESSIONS WERE ACHIEVED, WHILE MEET MINNEAPOLIS' WORK INFLUENCED MORE THAN 1,200 MEDIA STORIES AND GREW SOCIAL MEDIA FOLLOWERS TO 192,100 ACROSS ALL CHANNELS. SPORTING EVENTS THAT MEET MINNEAPOLIS PROCURED AND/OR EXECUTED IN 2024 INCLUDED THE NCAA MEN'S AND WOMEN'S BIG 10 BASKETBALL CHAMPIONSHIPS, AS WELL AS THE USA GYMNASTICS OLYMPIC TRIALS, GENERATING AN ESTIMATED $74.9 MILLION IN ECONOMIC IMPACT. HOTEL PERFORMANCE BROKE RECORD IN BOTH DEMAND AND REVENUE.
