Governance Explanations

Form 990, Page 6, Part VI, Line 11B

Two committees of the board of directors, the executive committee and the finance committee, review the return with the president/ceo and the vice president of finance and administration. After review, the committees approve to accept and file the return with the irs. A copy of the return is made available to the full board of directors before filing.

Form 990, Page 6, Part VI, Line 12C

If a transaction poses a potential conflict of interest, the board member or employee in question is asked to refrain from discussion and any other attempt to influence the decision. Directors with potential conflicts of interest must abstain from voting on any related issue.

Form 990, Page 6, Part VI, Line 15A

After an annual performance review, the board of directors set the ceo's salary based on measurable goals outlined at the beginning of the year, regional salary data, and data about compensation in similarly sized convention and visitor's bureaus.

Form 990, Page 6, Part VI, Line 15B

Other employees of the organization undergo a similar annual performance review process by the ceo. The ceo then sets compensation based on acheivement of measurable goals and available benchmark data.

Form 990, Page 6, Part VI, Line 19

Governing documents, the conflict of interest policy, and financial statements are available to the public upon request.
