Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is made up of the president, vice president, secretary, and treasurer. To the extent determined by the board, the executive committee shall have authority of the board in management of business of the organization. The executive committee shall act only in the interval between meetings of the board and at all times is subject to the control and direction of the board.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed and approved by the executive leadership after board approval of the audit.

Form 990, Part VI, Section B, Line 12C

Conflict of interest surveys are distributed and collected from each member of the board of directors and from each member of the management staff annually. The organization's conflict of interest policy is followed to resolve any circumstances that arise as a result of the surveys.

Form 990, Part VI, Section B, Line 15A

For the executive director, the compensation committee of the board of directors researches comparable compensation data and negotiates an employment compensation arrangement. This arrangement is then recommended by the compensation committee to the full board of directors who approves it before commencement of employment. For the current reporting period, the executive director has chosen to support the organization by accepting a salary which is less than fair market value for the position and responsibilities held. The board approves this reduction in compensation annually.

Form 990, Part VI, Section C, Line 19

Financial statements are available on the organization website and upon request. Governing documents and the conflict of interest policy are not available to the public.

FORM 990 PART X:

The organization adopted the provisions of asc 842, leases, using the modified retrospective approach with october 1, 2022 as the date of initial adoption. The organization elected the package of practical expedients permitted under the transition guidance within the new standard. In addition, the organization elected the practical expedient to use hindsight in determining the lease term for existing leases, which resulted in shortening the lease terms for certain existing leases. Upon implementation, operating lease right-of-use assets and liabilities increased by $1,631,460, which resulted in no change in net assets as of september 30, 2022. Adoption of the new standard did not materially impact the organization's net income or cash flows.
