Governance Explanations

Form 990, Part VI, Section A, Line 4

The number of board members allowed increased to twenty-four from twenty and the number of consecutive terms increased to five from three.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the finance committee who submits and recommends it for acceptance by the full board of directors before filing.

Form 990, Part VI, Section B, Line 12C

Conflict of interest surveys are distributed and collected from each member of the board of directors and from each member of the management staff annually. The organization's conflict of interest policy is followed to resolve any circumstances that arise as a result of the surveys.

Form 990, Part VI, Section B, Line 15A

For the executive director, the compensation committee of the board of directors researches comparable compensation data and negotiates an employment compensation arrangement. This arrangement is then recommended by the compensation committee to the full board of directors who approves it before commencement of employment.

Form 990, Part VI, Section C, Line 19

The annual report (which includes audited financial numbers) is posted on treehouse's website and is included in general marketing materials. The annual report is also available upon request. Governing documents and the conflict of interest policy are not available to the public.
