Mandie Loroff, Executive Director, WAS COMPENSATED as an employee of Onyx Meetings, Inc. for her services provided to AIA during 2019.”

“This association has designated five (5) aviation insurance professional interest groups for its members, to be known as divisions and named: underwriters, agents/brokers, reinsurance, claims, and attorneys. Each member of this association may belong to one of these divisions, and may freely change participation from one division to another in accordance with his or her professional or business interests. The board of directors may change the name, number or character of the divisions from time to time in its discretion. Premier membership: any person directly engaged in the aviation insurance business may apply to become a premier member of this association. Such persons are those that can be categorized into one of the five (5) aviation insurance professional interest groups of the association (underwriters, agents/brokers, reinsurance, claims, and attorneys). Executive membership: any person with an interest in the aviation insurance business, may apply to become an individual member of this association as an executive member. Executive members will be categorized as an active professional - working directly in the aviation insurance industry for a firm or organization that would be categorized into one of the five (5) aviation insurance professional interest groups. Associate membership: any person, organization or firm engaged in a business related to the aviation insurance business, but not directly engaged in the aviation insurance business (e.g. Vendors), risk management or retired persons with an interest in the aviation industry may become an associate member of this association. Such organizations and firms are those that could not be categorized into one of the five (5) aviation insurance professional interest groups of the association (underwriters, agents/brokers, reinsurance, claims, and attorneys). If the membership is held in the name of the firm or organization, the firm or organization shall designate one of its officers or employees to exercise the rights of membership provided for herein. Individuals acting as officers or employees of associate member firms or organizations shall not serve on the board of directors, or as an officer. Young professional membership: any person that has been directly engaged in the aviation insurance business for less than five (5) years, may apply to become a young professional member of this association. Young professional members bust be an active professional working directly in the aviation industry for a firm or organization that would be caterorized into one of the five (5) aviation professional interest groups. Any persons that have been employed in the aviation insurance business for more than five (5) years are not eligible for young professional membership. Persons with a young professional membership shall not (1) be eligible to vote, (2) serve on the board of directors, or (3) serve as an officer. Student membership: any person that is (1) enrolled full-time in a college or university, and (2) is 22 years old or younger may apply to become a student member. Persons with a student membership shall not (1) be eligible to vote, (2) serve on the board of directors, or (3) serve as an officer. Lifetime membership: upon a two-thirds vote of the board of directors, lifetime membership may be conferred to an outstanding and distinguished individual. All lifetime members shall be entitled to all the privileges of membership. Lifetime membership shall be good for the lifetime of the member so designated.”

“There is one director from each from the following membership divisions on the board of directors: underwriters, agents/brokers, reinsurance, claims, and attorneys. Only premier members and executive members having active professional status shall serve on the board of directors. Division directors shall be elected one year prior to beginning of their actual two-year term. These director-elects, while not actual members of the board, are encouraged to attend all board meetings for one year, as an aid in orienting them to the governance of the association, the association's programs and activities, and their coming responsibilities. Director-elects of the five (5) professional divisions are elected in staggered years at a meeting of each division's members, by a plurality vote of division members then present, during the annual meeting of the association.”

“The 990 is prepared and reviewed by an independent cpa firm with assistance from the executive director. Any questions are addressed and changes are made to the return as necessary. The final 990 is provided to the full board prior to the return being filed with the irs.”

“The conflict of interest guidelines are reviewed annually with each board member during the fall board of directors meeting to determine if there are any conflicts of interest. If at that time it is determined that there is a conflict of interest, the affected individual shall leave the boardroom while the matter is discussed and a vote, if any, shall be recorded in the minutes of the board.”

“The organization's governing documents, conflict of interest policy and financial statements are available upon request.”
