“Section 3.01 of the organization's bylaws were amended to require that committees which excercise the authority of the board of directors shall consist of only memebrs of the board of directors and shall have a minimum of three directors serving on each such committee. Prior to the amendment, the organization required a minimum of two directors to serve on such committees. Section 5.02 of the bylaws was amended to change the term of the board's chair, vice chair, secretary and treasurer three years. The maximum term served by officers of the board was changed from a maximum of six years to an indefinite maximum term, subject to the board's nomination and election procedures. Section 5.03(a) of the bylaws was amended to clarify that the board chair should work in alignment with the president and ceo of the organization. Section 5.03(b) of the bylaws was amended to clarify that in the event of the chair's resignation, death, suspension, removal or refusal to act, the vice-chair shall assume the office of chair, with all of its powers, duties and restrictions through the remaining time of the term of the chair.”
