Governance Explanations

Form 990, Part VI, Line 8: Explanation of No Contemporaneously Documentation of Meetings

Fox Valley Christian Action's policy is to document meetings of its board of directors on a timely basis after each meeting such that the minutes can be reviewed and approved at the subsequent meeting. During the year ended March 31, 2019, board meeting minutes were prepared and documented contemporaneously. During the year ended March 31, 2019, committee meeting minutes were not always documented contemporaneously.

Form 990, Part VI, Line 11B: Form 990 Review Process

It is Fox Valley Christian Action's policy that the IRS 990 be reviewed by the officer(s) required to sign them. The Board of Directors are apprised of the status of the returns during their regular meetings and a copy of the IRS 990 is made available to the Board of Directors for review before it is filed, but a board resolution is not required for the filings.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

Research is performed related to compensation of CEO/Presidents of comparable organizations and presented to the Executive Committee as part of their annual review and approval of the CEO/President's compensation package

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

Compensation packages for officers and key employees are approved by the Executive Committee of the Board of Directors. The overal compensation expense budget is approved by the board of directors annually as part of the budget process. The Board of Directors Executive Committee has, on a periodic basis, used data from a compensation study conducted by a Christian management and leadership association to address comparability of compensation for its officers and key employees; however, such information has not been used each and every year.

Riverwoods complies with Federal and Illinois public disclosure requirements with respect to IRS Forms 990 and 990-T and its governing documents. Riverwoods' policy is to fulfill all requests for the forms made in writing or in person by providing a copy of the requested document.

All officers, board members and management level employees must disclose any and all potential conflicts and are required to provide a signed statement saying they will disclose any such conflicts. If in the opinion of the Board Chair the conflict is a direct conflict of interest, that member must recuse him- or herself and abstain from any vote or action on the subject of the conflict.

Financial Statement Notes

Part X : FIN48 Footnote

Fox Valley Christian Action has received a determination letter from the Internal Revenue Service indicating that it is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code of 1986, except for income taxes pertaining to unrelated business income. No provision has been made for income taxes in the accompanying financial statements for the years ended March 31, 2019 and 2018, as Fox Valley Christian Action has had no significant unrelated business income. Accounting principles generally accepted in the United States of America require management to evaluate tax positions taken and recognize a tax liability (or asset) if the organization has taken an uncertain tax position that more likely than not would not be sustained upon examination by taxing authorities. Management has analyzed the tax positions taken and has concluded that as of March 31, 2019 and 2018, there are no uncertain income tax positions that would require recognition of a liability (or asset) or disclosure in the financial statements. Fox Valley Christian Action has filed income tax returns through the year ended March 31, 2018 and believes it is no longer subject to income tax examination for years prior to the year ended March 31, 2015.

Riverworks has full time staff members, called Community Coordinators, whose primary purpose is to equip and empower local churches to do hands on ministry in the housing communities of Aurora and Elgin. The Riverworks ministry and our church partners currently reach a small portion of the 800 youth served through the summer camp. We are working to build more church partnerships with the goal to eventually reach a point where all of the youth served through the summer camp will have an opportunity to be mentored and disciple in their Christian faith year-round through local church ministries.
