MAYO VFW POST 5422EIN 36-2593951 FORM 990TAX PERIOD JUNE 30, 2020LADIES AND GENTLEMEN:WE ARE WRITING YOU WITH RESPECT TO THE LATE FILING OF FORM 990 FOR THE YEAR ENDED JUNE 30, 2020.STATEMENT OF FACTSTHE ORGANIZATION IS A VETERAN OF FOREIGN WARS POST LOCATED IN WILMINGTON, ILLINOIS. IT HAS BEEN IN EXISTENCE SINCE 1946. THE ORGANIZATION'S BUILDING AND PRINCIPAL LOCATION AT 557 BALTIMORE SUFFERED A FIRE IN 2016. DUE TO FUNDING ISSUES, THE ORGANIZATION WAS OPERATED AT A DIMINISHED CAPACITY UNTIL RECEIVING A LOAN IN FEBRUARY 2019 TO REBUILD THE PROPERTY. IN OCTOBER 2019, WHILE THE PROPERTY REBUILT, THE ORGANIZATION DID NOT HAVE ENOUGH FUNDING TO PROPERLY EQUIP THE BUILDING, TO WHICH IT ESTABLISHED A "GO FUND ME" PAGE TO FINISH EQUIPPING THE BUILDING. THROUGHOUT ALL THIS CHAOS, MANY DIFFERENT INDIVIDUALS PARTICIPATED IN THE MANAGEMENT OF THE ORGANIZATION, WITH THEIR PRIMARY FOCUS RECONSTRUCTION OF THE PREMISES.THE ORGANIZATION'S PRIOR ACCOUNTANTS, KRM TAX AND ACCOUNTING SERVICES WERE RETAINED TO PREPARE FORM 990 FOR A FEW YEARS. THE LAST YEAR THEY PREPARED WAS FOR JUNE 30, 2019. THEY INEXPLICABLY WITHDREW FROM PREPARING THE JUNE 30, 2020, FORM 990 A FEW DAYS PRIOR TO THE DUE DATE. AT THAT POINT, THE ORGANIZATION REACHED OUT TO CALIBRE CPA GROUP, PLLC AND RETAINED THEM TO PREPARE FORM 990.CALIBRE CPA GROUP REVIEWED THE RECORDS OF THE ORGANIZATION AND FOUND THEM TO BE INCOMPLETE. AS THE ORGANIZATION WAS FOCUSED ON COMPLETING THE RECONSTRUCTION OF THE PROPERTY, UNFORTUNATELY BEYOND ENTERING BASIC TRANSACTIONS, THE ACCOUNTING FOR THE ORGANIZATION SUFFERED. WHILE ALL NECESSARY DOCUMENTATION DID EXIST, IT REQUIRED ADDITIONAL TIME TO ASSEMBLE EVERYTHING, INCLUDING CONTRACTOR STATEMENTS FROM THE RECONSTRUCTION OF THE BUILDING. AS SOON AS ALL INFORMATION WAS PROPERLY ASSEMBLED, THE ATTACHED FILING WAS PREPARED AND NOW IS BEING SUBMITTED.LAW AND ANALYSISSECTION 6652(C) OF THE INTERNAL REVENUE CODE IMPOSES PENALTIES FOR LATE FILING OF FORM 990. HOWEVER, SECTION 6652(C)(5) STATES "NO PENALTY SHALL BE IMPOSED UNDER THIS SUBSECTION IF IT IS SHOWN THAT SUCH FAILURE IS DUE TO REASONABLE CAUSE." WHILE "REASONABLE CAUSE" DOES NOT HAVE A SINGLE CLEAR DEFINITION IN THE CODE, IRS REGULATION 301.6724-1 STATES THAT THE PENALTY FOR A FAILURE RELATING TO A REPORTING REQUIREMENT IS WAIVED IF THE FAILURE IS DUE TO REASONABLE CAUSE. REASONABLE CAUSE MAY BE DEMONSTRATED IF THE FAILURE AROSE FROM EVENTS BEYOND THE FILER'S CONTROL (IMPEDIMENT TO FILING) OR IF THE FILER ESTABLISHES THAT THERE ARE SIGNIFICANT MITIGATING FACTORS WITH RESPECT TO THE FAILURE AND THAT THE FILER ACTED IN A RESPONSIBLE MANNER BY EXERCISING REASONABLE CARE.REASONABLE CARE IS THAT STANDARD OF CARE THAT A REASONABLY PRUDENT PERSON WOULD USE UNDER THE CIRCUMSTANCES IN THE COURSE OF ITS BUSINESS IN DETERMINING ITS FILING OBLIGATIONS AND IN HANDLING ACCOUNT INFORMATION SUCH AS ACCOUNT NUMBERS AND BALANCES. THE STANDARD OF REASONABLE CARE ALSO DEMANDS THAT THE FILER UNDERTAKE SIGNIFICANT STEPS TO AVOID OR MITIGATE THE FAILURE.REG. 301.6724-1(D)(1)(I) AND (II) STATE THAT THE FILER BEHAVED IN A RESPONSIBLE MANNER IF THE FILER EXERCISED A STANDARD OF CARE THAT A REASONABLY PRUDENT PERSON WOULD USE UNDER THE CIRCUMSTANCES IN THE COURSE OF ITS BUSINESS IN DETERMINING ITS FILING OBLIGATIONS, AND THAT THE FILER UNDERTOOK SIGNIFICANT STEPS TO AVOID OR MITIGATE THE FAILURE, INCLUDING ACTING TO REMOVE AN IMPEDIMENT OR THE CAUSE OF A FAILURE, ONCE IT OCCURRED, AND RECTIFYING THE FAILURE AS PROMPTLY AS POSSIBLE ONCE THE IMPEDIMENT WAS REMOVED OR THE FAILURE WAS DISCOVERED.ABSENCE OF WILLFUL NEGLECTIN ADDITION TO REASONABLE CAUSE, THE ABSENCE OF "WILLFUL NEGLECT" IS MENTIONED IN SEVERAL PLACES IN THE CODE AND IN THE INTERNAL REVENUE MANUAL AS A FACTOR TO CONSIDER IN DETERMINING IF ABATEMENT OF PENALTIES IS APPROPRIATE.
