Mission

The Jewish Council on Urban Affairs (JCUA) longstanding mission is to combat poverty, racism, and antisemitism working in partnership with diverse communities across Chicago. Through a community organizing model, JCUA organizes the Jewish community of Chicago to be a powerful partner in advancing meaningful social change.

Form 990, Part VI, Line 2: Description of Business or Family Relationship of Officers, Directors, Et

Directors Lou and Lya Rosenblum are husband and wife. Directors Sidney Hollander and Kay Berkson are husband and wife.

Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents

Effective January 8, 2013, the JCUA by-laws were amended. The more significant aspects of the changes adopted were: -JCUA is an organization of 35-40 directors, with no outside membership. -Board meetings are to be held at minimum on a quarterly basis. -Directors vote on new members and officers from a slate put forward by the Development Committee. -One-third of the sitting directors constitute a quorum. Directors may be present via telephone or Skype. -The vice-chair of the board is not designated as president-elect. The nominating committee selects a candidate for president. -Standing committees include: executive, budget and finance,resource development, community and policy, personnel, and board development. -Committee chair terms are not limited. -Board members are limited to 4 terms of 2 years each, at which time a one term hiatus is required. Members of the executive board are not subject to this limitation for the duration of executive board membership.

Form 990, Part VI, Line 11B: Form 990 Review Process

The Form 990 is reviewed in detail by the executive director and the auditor who drafts the Form 990 using input from management. The draft form is then provided to the chair of the Budget and Finance committee who meets with the executive director and tax return preparer to review the draft in detail. The reviewed draft is then provided to the entire Board before filing the form.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The Bylaws of JCUA set forth the procedures to be followed in the situation where a director, officer or employee of JCUA has a direct or indirect financial interest in a transaction being considered by JCUA. It is management's and the interested individual Board member's responsibility to identify transactions being considered that may be perceived to require following procedures as set forth in section 9.2 of the bylaws. Such procedures include full disclosure of all material facts of the proposed transaction and the interested person's interest as well as alternative arrangements for the proposed transaction. If a director, the interest person may not be present for Board deliberations and may not vote on the transaction.
