“Organization members are businesses who are independent sales firms of electronic components and products, participating electronic distributors and electronic manufacturers. The firm becomes members by paying annual dues. They are members as long and only as long as they pay dues. There are no shareholders.”

“Members can join as long as they establish that they are in the business of electronics. Members elect the board of directors based on their geographic area, and the board, in turn, elects the officers.”

“Members vote on changes to the by-laws. They also vote to elect board members.”

“Local chapters are independent organizations with their own officers and board of directors. They file their own tax forms and are financially independent. They are required to maintain by-laws consistent with the national organization. In some cases, at the request of the local chapters, the national organizations has performed some administrative functions such as billing and collecting their annual dues. Reasonable fees are charged to the chapters for this service.”

“A review is conducted by the cfo and the ceo. A review is not conducted by the entire executive committee.”
