The american health information management association (ahima) is the leading voice and authority in health information, wherever it is found. Our people work at the intersection of healthcare, technology, and business. While our patients don't often see us, we see our patients in a way no other healthcare professional does. That is because ahima-certified professionals ensure that sensitive health stories remain accurate, accessible, protected and complete at all times. Governance Explanations

Form 990, Part VI, Section A, Line 4

Ahima adopted the following bylaw changes in 2013: certain elements of section 4.3.2, student, have been changed to read "a student currently enrolled in a formal certificate or degree granting program directly relevant to ahima's purposes, who meets the qualifications set forth in these bylaws is eligible for student membership." certain elements of section 7.6, speaker-elect of the house of delegates, have been changed to read "the speaker-elect must be an active member of ahima, an ahima-approved certificant, and a current or previous member of the house of delegates." certain elements of section 18.1, adoption of amendments, have been changed to read "a proposal to the house of delegates to amend the bylaws may be initiated by the board of directors, a component state association, and/or any active member at any time that is at least thirty (30) days prior to the house of delegates meeting at which a vote on the proposal is to be taken."

Form 990, Part VI, Section A, Line 6

Active and honorary members have the right to vote. The house of delegates has the following powers regarding significant decisions of the governing body: - approve the standards governing the profession, including: - the ahima code of ethics - how to interpret the code of ethics - elect the members of the ahima nominating committee, except the chairman and appointed members. - advise the board of directors in the development and modification of association plans. - levy special assessments. - approve ahima bylaws amendments. - approve standing rules of the house of delegates. - approve resolutions. Ahima shall make no distribution of its assets to any of its members during the period of its operation or upon its liquidation. Upon the dissolution or final liquidation of ahima, any assets remaining after all obligations have been satisfied or provided shall be transferred to a nonprofit entity determined by the board of directors.

Form 990, Part VI, Section A, Line 7A

The board has the right to appoint additional members whether periodically or as vacancies arise. Only membership can elect new members of the board as noted in part vi, section a, line 6. In the case of death, incapacity, or written resignation of any officer or director during his or her term of office, the vacancy shall be filled by action of the board of directors. Any elected or appointed officer or director of ahima may be removed for cause by the board of directors, providing such action is taken by a majority vote of the members / board.

The house of delegates has to approve certain decisions of the governing body, such as changes in the bylaws. See part vi, line 6 explanation.

The finance committee reviews and approves the form 990. This review includes analyzing the 990 for reasonableness, accuracy, and relationship to ahima's mission. The form 990 is then sent to the board prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Annually all board members, volunteers, and staff must disclose any interests that could give rise to conflicts. The board governance team reviews these conflict of interest statements. In addition, at the start of each meeting board members are asked to disclose any interests that would jeopardize their independence.

The board leadership reviews the ceo's compensation annually. This review is documented and includes benchmarking against other comparable positions. The other executive's compensation is matched to market using a thrid party compensation consulting firm.

Financial Statement Notes

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the association and recognize a tax liability if the association has taken an uncertain position that more likely than not would not be sustained upon examination by the irs or other applicable taxing authorities. Management has analyzed the tax positions taken by the association and has concluded that as of december 31, 2013, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. The association is subject to routine audits by taxing jurisdictions; however,there are currently no audits for any tax periods in progress. Management believes it is no longer subject to income tax examinations for years prior to 2010. Accordingly, no provision for federal income taxes is included in the consolidated statement of activities and changes in net assets, as the association had no significant taxable unrelated business income.
