“Hrmac has contracted with smithbucklin corporation (smithbucklin) to manage its operations. Smithbucklin is a management company which manages all aspects of the organization in accordance with hrmac's bylaws and policies. Operations may include but are not limited to administration, membership, finance and accounting, education, marketing, and information technology. Smithbucklin employees provide these services.”

“The association has various classes of membership, as determined by the board of directors: company, individual, and honorary. Company membership includes any firm or organization, association, corporation, partnership, or individual employer which meets the criteria established by the board of directors. Each member company may designate one or more company representatives. Individual membership includes any individual attending an educational institution or who is in the process of a professional transition. In addition, any representative of a government who is interested in the mission of the association is eligible to become an individual member. Honorary membership includes past chairmen who are deemed honorary members upon completion of their term as immediate past chairman.”

“Company representatvies, individual members, and honorary members are all entitled to vote for the election of members of the association's governing body. However, only company representatives and individual members have the right to hold office.”

“Upon the written request of five percent of the members, a special meeting may be called at any time. In addition, the amendment of the association's bylaws must be approved by a majority vote of the company representatives and individual members either voting at a regular or special meeting at which a quorum is present or by written ballot according to procedures approved by the board of directors.”

“Form 990 is prepared by independent public accountants and submitted to the association's management company for initial review. The form is then submitted to the board of directors for review and discussion prior to filing.”

“Directors are required to sign a conflict of interest statement at the beginning of their terms and reminded to disclose any conflicts of interest as they arise.”

“The association's governing documents, conflict of interest policy, and financial statements are available to the public upon request.”

“The association's board of directors is responsible for the oversight of the review and selection of an independent accountant. This process has not changed from the prior year.”
