“The association has members who have the right to participate in the organization's governance.”

“The president, with the approval of the directors, shall appoint a nominating committee prior to the annual meeting of members. The nominating committee shall nominate one or more members for each vacancy in the board of directors. Nominations for directors may also be made by a petition signed by ten members, not including the nominees therein, accompanied by the written consent of such nominee.”

“Any voting member of the association may take part and vote in person at any meeting of members thereof. Members shall be entitled to all the privileges of the floor at all meetings of members but only voting members shall be entitled to vote. Only one vote shall be cast per mooring fee paid. There shall be no fractional or proxy voting. Fifteen or more voting members shall constitute a regular quorum at any duly called meeting.”

“The organization does not have any committees with the authority to act on behalf of the governing body.”

“After receiving a draft of form 990, it is distributed to the governing body. All board members are instructed to review the document and reply with any questions or comments by a given date. If issues arise they are answered by the association's cpa firm. If there are no further issues, the document is submitted to the irs. A copy of the final return is provided to all board members prior to filing.”

“At the first meeting following director elections, the conflict of interest policy is reviewed and any member with a conflict is asked to disclose it.”

“During the executive director's annual review, the board looks at a salary comparison and assesses work performance against a previously-determined performance plan.”

“In 2016, wilmette harbor association took over some of the program activities and responsibilities formerly handled by the sheridan shore yacht club. This included hosting social events such as dinners, parties, and additional events at the wilmette harbor association clubhouse. Starting in 2017, wilmette harbor association began offering a social membership that included access to the clubhouse and any events hosted by wilmette harbor association but did not offer access to any of the moorings.”
