Governance Explanations

Form 990, Part VI, Section A, Line 6

Retail confectioners international is a trade association made up of 450+ members who are owners/managers of retail candy, chocolate and confectionary businesses and/or are allied with the same. These members nominate the 20 member board of directors and vote on any issues put forth by the said board.

Form 990, Part VI, Section A, Line 7A

The association is governed by a board of directors and associated sub-committees. The board of directors is vested with the authority to make decisions on behalf of the membership. However, major decisions involving the financial well-being of the association are recommended by the board of directors and put before the general membership for vote. Examples include the annual budget and any changes to the association's by-laws.

Form 990, Part VI, Section B, Line 11

The 990 is reviewed by the board and executive director prior to filing.

Form 990, Part VI, Section C, Line 19
