Governance Explanations

Form 990, Part VI, Section A, line 6

The most common way to become a member of Alpha Xi Delta is to participate in the formal recruitment process at universities where an Alpha Xi Delta chapter is located. Alpha Xi Delta is a member of the National Panhellenic Conference (NPC) and recruits new members under their guidelines.

Form 990, Part VI, Section A, line 7A

Members of Alpha Xi Delta elect the National Council.

Form 990, Part VI, Section B, line 11

Each member of the audit committee will receive a copy of the 990. Each member of the audit committee and ELYSIA BALSTER GALLIVAN, AS NATIONAL EXECUTIVE DIRECTOR, WILL REVIEW THE 990. ONCE THOSE individuals HAVE APPROVED, THE 990 WILL BE ISSUED. THE FINAL VERSION WILL BE SHARED WITH THE NATIONAL COUNCIL FOR AWARENESS PRIOR TO ISSUANCE.

Form 990, Part VI, Section B, line 12C

The forms are collected, kept on file, and individuals are asked to recuse themselves from a vote if it is a conflict of interest.

Form 990, Part VI, Section B, line 15

The Fraternity has an Executive Performance and Compensation Review committee comprised of three board members. Those members reach out to the Foundation Chair and NHC President for feedback. They review both industry standards for compensation as well as Greek organization survey results. Location of the National Executive Director is also taken into consideration. The committee completes the review document and agrees on the compensation. National President completes the review and sends a memo to Director of Finance and Operations for the fraternity for execution.

Additional Explanations

Form 990, Part III, Line 4C, Program Service Accomplishments

Providing a quality membership experience requires countless programming opportunities to undergraduate and alumnae members alike. Alpha Xi Delta is proud to offer a range of programming to entice and educate women at all stages in their membership. Alpha Xi Delta continued A Clear Vision of Life - The Wellbeing Program during this year. This is an educational program specifically designed for Alpha Xi Delta alumnae. Based on the book, "Wellbeing: The Five Essential Elements" by Tom Rath and Jim Harter, the program offers "challenges" related to the five elements of Wellbeing: Career, Social, Financial, Physical, and Community. Alpha Xi Delta's magazine "The Quill" allows us to promote the incredible accomplishments of our members-both internally and externally. With a circulation of over 83,000, it is a source of pride for the organization. Alpha Xi Delta's comprehensive recruitment training program, The Workout, was offered at the National Convention in 2015. The Workout is a summer leadership experience that offers powerful training to provide members with all the tools, resources and ideas they need to make their chapter's recruitment process unparalleled. Regionally based volunteers plan and host a mid-year leadership training titled Area Wide Training (AWT). Women in attendance learn the basics of being a new officer as well as tactics to increase their campus presence through positive public relations efforts; importance of on-campus involvement; updates on how to incorporate our philanthropy, Autism Speaks, into the chapter calendar of events. Additionally, they were shown a webinar on the Fraternity's partnership with AllOne Health's Student Talk One-2-One program-a telephonic, 24/7/365 counseling service that is offered to our membership at no additional cost. Alpha Xi Delta held its 51st National Convention in Boston, MA in July 2015. Alpha Xi Deltas gathered together to celebrate our Sisterhood and conduct the business of the Fraternity. More than 550 Sisters and friends were in attendance at this convention. We welcomed five new members into our Alpha Deuteron Chapter. Attendees participate in a variety of educational programs ranging from academics to social media and everything in between. Awards were given to honor chapters, alumnae members and collegiate members. In 2016, Alpha Xi Delta Fraternity became the national presenting sponsor of Autism Speaks Walks, the nation's largest grassroots autism fundraiser and event for Autism Speaks. The members of Alpha Xi Delta support the mission of Autism Speaks as its national philanthropy partner. Alpha Xi Delta and other interfraternal organizations rolled out a sexual assault prevention program called Courageous Conversations. Through this program, Sisters are led through material designed to educate and empower our members on issues surrounding sexual assault prevention and healthy relationships. Created with the unique characteristics of a women's organization in mind, the program allows for honest dialog among Sisters in an environment that encourages support and learning. Trained and experienced facilitators guide members through an educational experience that will cultivate a deeper understanding of these complex issues.

Form 990, PART III, LINE 4D, OTHER PROGRAM SERVICE ACCOMPLISHMENTS

Master insurance program: The Fraternity administers a master insurance program to provide insurance coverage to the local chapters and local building corporations of Alpha Xi Delta. The program provides educational resources to chapters regarding safe event planning, resources for women, and contract language. Local building corporations are provided educational materials regarding preparing for tropical storms, preparing the chapter house for winter and summer breaks, and best practices related to basic maintenance of the facility.

Financial Statement Notes

Part X, Line 2:

The Fraternity and the NHC are each organized as not-for-profit corporations and have obtained exemption from income taxes under Section 501(c)(7) of the Internal Revenue Code and similar state laws. (The NHC's exempt status was revoked; management applied for reinstatement in December 2012 and received notification in September 2014 that their exempt status has been restored effective November 2011.) The exemption is on all income except unrelated business income. An unrelated trade or business of an exempt organization is any trade or business which is not substantially related to the exercise or performance of its exempt purpose. Income earned from non-members is recognized as unrelated business income to the extent such income is not set aside. Income that is properly set aside must be used for the qualifying purposes outlined in the set aside resolution. The activities of SJSU, Cornell, and Wisconsin are exempt as programs under the NHC's not-for-profit exemption and are included in the income tax filings of the NHC. The exemption is on all revenue except unrelated business income. Accounting principles generally accepted in the United States of America require management to evaluate tax positions taken by the Organization and to recognize a tax liability if the Organization has taken an uncertain position that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by the Organization, and has concluded that as of May 31, 2016 and 2015, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying consolidated financial statements. The Organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The Fraternity and NHC have filed their federal and state income tax returns for periods through May 31, 2015. Income tax returns are generally open to examination by the relevant taxing authorities for a period of three years from the later of the date the return was filed or its due date (including approved extensions).

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Fraternity and the NHC are each organized as not-for-profit corporations and have obtained exemption from income taxes under Section 501(c)(7) of the Internal Revenue Code and similar state laws.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0Providing a quality membership experience requires countless programming opportunities to undergraduate and alumnae members alike.
